REGARDING THE CONTRIBUTION OF PARTS OF THE ASSETS
PREPARED BY THE RESPECTIVE BOARDS OF DIRECTORS OF
ORIFLAME COSMETICS GLOBAL S.A. AND ORIFLAME COSMETICS AG (FORMERLY ORIFLAME
GLOBAL E-COMMERCE AG)
IN ACCORDANCE WITH ARTICLES 308BIS-2 AND 285 TO 308
(TO THE EXCLUSION OF ARTICLE 303) OF THE LAW OF 10 AUGUST 1915
ON COMMERCIAL COMPANIES, AS AMENDED FROM TIME TO TIME
AND TAKING INTO CONSIDERATION ARTICLES 69 AND SEQ.
OF THE SWISS MERGER ACT, ARTICLE 163d OF THE SWISS INTERNATIONAL PRIVATE LAW
AND
CONTRIBUTION IN KIND AGREEMENT
ACCORDING TO THE ARTICLES OF THE SWISS CODE OF OBLIGATIONS REGARDING CAPITAL
INCREASE AND CONTRIBUTION IN KIND
On 14 December 2015, the respective boards of directors of:
1. Oriflame Cosmetics Global S.A., a public limited liability company (société anonyme) incorporated and existing

under the laws of Luxembourg, whose registered office is located at 24, avenue Emile Reuter, 2420 Luxembourg, Grand-
Duchy of Luxembourg, and registered with the Luxembourg Trade and Companies Register under number B. 176162
(“OCG” or the “Contributing Company” as the case may be), having under the name Oriflame Cosmetics Global S.A.,
Luxembourg, Schaffhausen Branch, a branch (succursale) located in Schaffhausen, Switzerland, registered with the com-
mercial register of the canton Schaffhausen under the number CHE-458.709.603 (the “Swiss Branch”),

and
2. Oriflame Cosmetics AG (formerly Oriflame Global e-commerce AG), a corporation (Aktiengesellschaft) pursuant to

articles  620  et  seq.  of  the  Swiss  code  of  obligations,  incorporated  and  existing  under  the  laws  of  Switzerland,  whose
registered office is located at c/o Oriflame Global Management AG, Bleicheplatz 3, 8200 Schaffhausen, Switzerland, and
registered with the Company Register of the canton Schaffhausen under number CHE-411.515.463 (“SwissCo” or the
“Beneficiary Company” as the case may be; within the context of the present Asset Transfer Plan and Contribution in Kind
Agreement, the Contributing Company and the Beneficiary Company will be, unless otherwise specified, collectively
referred to as the “Companies” or individually a “Company”),

have drawn-up this asset transfer plan, in accordance with the provisions and requirements provided in article 308bis-2

of the Luxembourg law of 10 August 1915 on commercial companies, as amended from time to time (the “Luxembourg
Company Law”) and taking into consideration articles 69 and seq. of the Swiss merger act (asset transfer by operation of
law, i.e. ipso jure transfer), article 163d of the Swiss international private law recognizing a cross-border asset transfer
from a Luxembourg company to a Swiss corporation (the “Asset Transfer Plan”) and this contribution in kind agreement
in accordance with the articles of the Swiss code of obligations regarding capital increase and contribution in kind (the
“Contribution in Kind Agreement”) (the Asset Transfer Plan and the Contribution in Kind Agreement together the “Asset

Transfer Plan and Contribution in Kind Agreement”) and agreed to the following terms regarding the contribution of part
of assets (apport d’une partie de l’actif) expected to take place between the Contributing Company and the Beneficiary
Company on or around 26 January 2016 (the “Contribution”), whereby the Contributing Company shall transfer, without
being dissolved, to the Beneficiary Company:

i. all of the assets attached to OCG’s activities consisting in (a) the holding, management and realization of intellectual

property rights of whatever nature (e.g. trademarks, know-how, copyrights, domain name registrations, slogans, formula-
tions, design components, etc. - collectively the “IP Rights” and individually, an “IP Right”) as used in the conduct of the
business of OCG or affiliated entities of Oriflame group of companies (“Oriflame Group” or the “Group”) and (b) the
granting of licenses on these IP Rights and (c) any ancillary business associated with such IP Rights (the “IP Activities”)
(the “Assets”); the Assets are further listed/described in Section 2.1 below;

ii. to the exclusion of any liabilities attached to the IP Activities and those assets and liabilities remaining at OCG, in

particular but not limited to those described in Section 2.2 below (the “Excluded Assets and Liabilities”).

Any reference to the assets, respectively to the agreements and arrangements OCG has entered into in connection with

its IP Activities, may also include assets allocated to the Swiss Branch, respectively those agreements and arrangements
executed for the purpose of and/or through the Swiss Branch.

<i>Preamble

A. The respective boards of directors of the Companies consider:
- that the shareholders’ meeting of SwissCo unanimously resolved on or around 14 December 2015 on an ordinary

increase of the share capital of SwissCo from CHF 100,000 by CHF 10,000 to CHF 110,000 by issuing 100 registered
shares with a nominal value of CHF 100 each and determined that the contribution will be performed by a contribution in
kind (the “Capital Increase Shareholders’ Resolution”);

- that OCG shall subscribe these 100 registered shares to be newly issued in the course of the above mentioned capital

increase and fully pay the contribution for such shares by contributing the Registered Trademarks (as defined below) which
are part of the Assets as contribution in kind, subject to the approval of OCG’s sole shareholder to transfer the Assets;

- that OCG shall transfer the Assets to SwissCo; and
- to make use of the opportunity afforded by the second paragraph of article 308bis-2 of the Luxembourg Company Law

to submit the contemplated Contribution under the procedure provided in articles 285 to 308 (to the exclusion of article
303) of the Luxembourg Company Law for division/demerger transactions (scissions) in order for the contemplated transfer
of the Assets to occur, to the possible extent, by operation of law (i.e. ipso jure transfer) and to make use of the opportunity
afforded by articles 69 and seq. of the Swiss merger act (asset transfer by operation of law, i.e. ipso jure transfer), article
163d of the Swiss international private law recognizing a cross-border asset transfer from a Luxembourg company to a
Swiss corporation and the articles of the Swiss code of obligations regarding capital increase and contribution in kind.

B. The contemplated Contribution is in line with the previous global reorganization and relocation process of the Ori-

flame Group, whereby the management of the Oriflame Group has decided to align the Oriflame Group`s legal structure
with its operational structure by re-domiciliation from Luxembourg to Switzerland. This initiative was a consequence of
gradually improved operational efficiencies through the implementation of global shared services in the areas of IT, finance
and HR as well as e-commerce, cash pooling initiatives and inventory risk management, where the Oriflame Group has
moved activities, risk, management and functions to Switzerland. To accomplish the new legal structure in June 2015
Oriflame Holding AG (“OHAG”) made a public share-for-share exchange offer to the shareholders of the top holding
company Oriflame Cosmetics S.A. The offer was successfully completed and the Oriflame Group’s top holding company
changed domicile from Luxembourg to Switzerland. Therefore, the present transaction of moving the IP Rights from OCG
to SwissCo is a continuation of alignment of the legal structure with the operational structure.

C. In accordance with the possibility set forth in article 296 of the Luxembourg Company Law, the respective share-

holders of the Companies have expressly waived being submitted with any report from the management board of the
Companies as provided for in article 293 of the Luxembourg Law, nor expert report as provided for in article 294, paragraph
1 of the Luxembourg Law.

D. The present Asset Transfer Plan and Contribution in Kind Agreement:
- has been prepared in compliance with relevant provisions of article 289 of the Luxembourg Company Law ( i.e. at the

exclusion of paragraphs 2 b) and i) of article 289 of the Luxembourg Company Law, which paragraphs are not relevant for
the purpose of the Contribution as such transaction does not involve any share exchange per se (which absence of share
exchange is one of the elements distinguishing the Contribution from division/demerger transactions for which articles 289
to 308 of the Luxembourg Company Law have been primarily designed) to provide the shareholders, creditors and/or co-
contracting parties of OCG and SwissCo with all pertinent information regarding the contemplated Contribution;

- has been prepared in compliance with articles 69 and seq. of the Swiss merger act, article 163d of the Swiss international

private law and the articles of the Swiss code of obligations regarding capital increase and contribution in kind;

- has been based on unaudited interim accounts of OCG as of 30 September 2015, prepared in accordance with Lu-

xembourg  generally  accepted  accounting  principles  (the  “Interim  Accounts”);  -  has  been  approved  and  signed  by  the
respective boards of directors of the Companies pursuant to resolutions dated 14 December 2015;

- shall be deposited with the Luxembourg Trade and Companies Register to be published in the Mémorial C, Recueil

des Sociétés et Associations (the “Luxembourg Official Gazette”), as prescribed by articles 290 and 9 of the Luxembourg
Company Law, on or around 21 December 2015 and in any case at least one month prior to the date of execution of the
Contribution;

- will be submitted to the approval of the sole shareholder of the Contributing Company (the “Sole Shareholder” and

the “Sole Shareholder’s Approval”) in accordance with article 291 of the Luxembourg Company Law.

E. The board of directors of the Contributing Company declares that, as of the date of this Asset Transfer Plan and

Contribution in Kind Agreement:

- no significant changes have occurred since the preparation of the Interim Accounts that could have a negative impact

on the valuation of the Assets to be contributed; and

- all transactions, contracts, agreements or commitments, which could be performed and/or executed, as from the date

of this Asset Transfer Plan and Contribution in Kind Agreement until the date of the Sole Shareholder’s Approval, in
connection with the Assets, will be conducted either (a) within the normal course of the activities of the Contributing
Company, excluding any major transactions and/or actions effecting the Assets or (b) for the purpose of the contemplated
Contribution (in this latter case, the enforceability of all such transactions, contracts, agreements or commitments will be
conditional upon the Sole Shareholder’s Approval).

1. Features of the companies - Legal form, Corporate denomination and registered office.
1.1 The Contributing Company
The Contributing Company:
i. was incorporated under the form of a public limited liability company (société anonyme) governed by the laws of

Luxembourg  on  19  March  2013  under  the  corporate  denomination  of  “Oriflame  GLOBAL  S.A.”,  pursuant  to  a  deed
received by Maître Carlo WERSANDT, notary residing in Luxembourg, Grand-Duchy of Luxembourg (the “Luxembourg
Notary”), published in the Luxembourg Official Gazette number 777 on 2 April 2013, was renamed as “ORIFLAME
COSMETICS GLOBAL S.A.” on 21 May 2013, pursuant to a deed received by the undersigned notary, published in the
Luxembourg Official Gazette number 1716 on 17 July 2013, and has existed since then under this denomination;

ii. has its registered office established at 24, avenue Emile Reuter, 2420 Luxembourg, Grand-Duchy of Luxembourg;
iii. is registered with the Luxembourg Trade and Companies Register under number B 176162;
iv. performs the activities set forth in article 4 of its articles of association;
v. has a share capital amounting to EUR 3,031,000 represented by 3,031,000 fully paid-up ordinary shares with a nominal

value of EUR 1 each;

vi. is not a publicly-listed company;
vii. has neither issued any debt securities (e.g. bonds, notes, etc.) nor any securities whereby any of such kind of ins-

trument gives rights to its capital or voting rights and has not conducted any operation likely to result in the creation of
new equity securities other than the shares comprising its capital;

viii. has the Swiss Branch; and
ix. the Swiss Branch has one employee attached to the Assets and/or affected by the Contribution, hence article 333 and

seq of the Swiss code of obligations are applicable. Luxembourg law, in particular article L.127-3 and seq of the Luxem-
bourg Labor Code, will not apply in this regard.

1.2 The Beneficiary Company
The Beneficiary Company:
i. was incorporated under the form of a corporation (Aktiengesellschaft) pursuant to articles 620 et seq. of the Swiss

code of obligations on 23 February 2012 under the corporate denomination of “Oriflame Global e-commerce AG” and was
renamed as “Oriflame Cosmetics AG” on 12 November 2015 and has existed since then under this denomination;

ii. has its registered office established at c/o Oriflame Global Management AG, Bleicheplatz 3, 8200 Schaffhausen,

Switzerland;

iii. is registered with the commercial register of the canton Schaffhausen under number CHE-411.515.463;
iv. performs the activities set forth in article 2 of its articles of association;
v. has a share capital amounting to CHF 100,000 represented by 1,000 fully paid-up registered shares with a nominal

value of CHF 100 each;

vi. is not a publicly-listed company;
vii. has neither issued any debt securities (e.g. bonds, notes, etc.) nor any securities whereby any of such kind of ins-

trument gives rights to its capital or voting rights and has not conducted any operation likely to result in the creation of
new equity securities other than the shares comprising its capital.

1.3 Ownership structure and links between the Companies
The Contributing Company currently holds all of the 1,000 ordinary shares in the Beneficiary Company, representing

100% of its capital and voting rights.

2. Assets to be transferred under the contribution. The Contribution to be made to the benefit of the Beneficiary Company

shall consist in the Assets, consisting of the Registered Trademarks and the Other Assets (as defined below), and in particular
the full and complete ownership and/or benefit and expense of:

2.1 Concerning the Assets
i. all registered trademarks beneficially owned by the Contributing Company listed in the Schedule 1 and in Appendix

1 of Schedule 1 attached to (and part of) this Asset Transfer Plan and Contribution in Kind Agreement (the “Registered
Trademarks”) and shall serve as a contribution in kind; and

ii. all the other assets (the “Other Assets”), without serving as a contribution in kind, being:
a. all IP Rights (excluding the Registered Trademarks) beneficially owned by the Contributing Company listed, by

category (e.g. know-how, copyrights, domain name registrations, slogans, formulations, design components, etc.) in the
Schedule 1 and the Appendices of Schedule 1 attached to (and part of) this Asset Transfer Plan and Contribution in Kind
Agreement; and

b. the rights and obligations attached to any contracts, agreements and/or contractual arrangements whatsoever to which

the Contributing Company is party to in relation to the IP Activities to be transferred, especially any license and/or sub-
license agreements, as further listed in Schedule 2 attached to (and part of) this Asset Transfer Plan and Contribution in
Kind Agreement;

c. any other ancillary IP Rights attached to the IP Activities (to the exclusion of the Third-Party Licensed IP Rights - as

this term is defined below) which would not be listed in Schedule 1 and Schedule 2, by omission;

d. all accounts receivable relating to services rendered or goods delivered in connection with IP Rights on or after the

Legal Effective Date (as this term is defined under Section 8 below).

For the avoidance of doubt, any account receivables accrued on or before 31 December 2015 will remain with the

Contributing Company and any account receivables accrued on or after 1 January 2016 will remain with the Beneficiary
Company.

2.2 Excluded Assets and Liabilities
i. dept capital;
ii. any debts vis-à-vis the intellectual property offices where the IP Rights are registered and/or other (public/private)

authorities in connection with the IP Activities performed by the Contributing Company;

iii. all other debts and expenses (if any) of any kind or nature whatsoever in connection with the IP Activities performed

by the Contributing Company;

iv. all accounts payable relating to IP Rights for all periods commencing on or after the Legal Effective Date;
v. licenses of IP Rights from third parties (“Third-Party Licensed IP Rights”); and
vi. the rights and obligations attached to contracts, agreements and/or contractual arrangements whatsoever to which

the Contributing Company is party to in relation to the Third-Party Licensed IP Rights;

vii. the rights and obligations attached to the contracts, agreements and/or contractual arrangements to which the Con-

tributing Company is party, which are listed in Schedule 3 attached to (and part of) this Asset Transfer Plan and Contribution
in Kind Agreement.

For sake of clarity, the Assets listed above under Sections 2.1 are further described hereinafter with reference of their

net book value (valeur nette comptable) as reflected in the Interim Accounts, which net book value shall retained as reference
value for the purpose of the Contribution.

2.4 Net asset to be contributed to the Beneficiary Company
For the avoidance of doubt, the Assets listed above will be transferred in their status as existing on the Legal Effective

Date and at net book value.

On the basis of the Interim Accounts, the net asset (i.e. total amount of the Assets) to be contributed to the Beneficiary

Company (the “Net Contribution”) is equal to EUR 656,186.11 (corresponding to CHF 716,227.14 converted into CHF at
the according fixing price of the European Central Bank as published on 30 September 2015 under the following official
webpage http://www.ecb.europa.eu/stats/exchange/eurofxref/html/index.en.html).

There have been no specific difficulties in the valuation of the Net Contribution.

3. Contribution practicalities and formalities.
3.1 Implementation practicalities
Certain Assets will require separate underlying transactions and agreements (e.g. assignment, novation, sale and pur-

chase, waiver, amendment, etc.) to be carried out in accordance with applicable laws (and in particular any applicable lex
loci protectionis as far as the IP Rights are concerned), to be legally and effectively transferred to the Beneficiary Company.

The Companies will thus execute, with effect prior to the Legal Effective Date, any agreements, supplemental documents,

schedules, papers, forms, notices, notifications, deeds, powers of attorney, letters, certificates, acknowledgements, ins-
tructions, amendment agreements, waiver requests, confirmations, written statements, etc. whether governed by Luxem-
bourg or foreign law and/or to carry out any actions, steps formalities, etc. and/or make any declarations, announcements,
observations, statements, confirmations, etc. that may be required, incidental, necessary, expedient, useful or desirable
under all applicable laws and jurisdictions:

i. to effect the transfer of the Assets from the Contributing Company to the Beneficiary Company; and/or
ii. to have the IP Activities of the Contributing Company carried out and continued by the Beneficiary Company.
3.2 Additional formalities
The Companies will further take charge of all formalities (including filing and publication matters) required, necessary,

appropriate or deemed useful under any applicable laws and jurisdictions in particular, lex contractus for the agreements,
contracts and/or other contractual arrangements in connection with the IP Activities lex loci protectionis for the IP rights
and/or lex fori for pending proceedings in relation to the IP Activities, in foreign jurisdictions (if any) to implement and/
or to ensure the effectiveness of the Contribution vis-à-vis any concerned co-contracting parties of OCG and/or any third
parties.

Completion of such formalities will be evidenced upon request of the Luxembourg Notary in front of whom the Sole

Shareholder shall appear to formally approve the Asset Transfer Plan and Contribution in Kind Agreement and the Con-
tribution.

4. Effects of the contribution vis-a-vis the companies and their creditors.
4.1 Vis-à-vis the Companies
Immediately upon Registration (as defined below) with effect as of the Legal Effective Date:
i. the Contributing Company shall, to the possible extent, hand over to the Beneficiary Company the original copies of

all contracts, agreements and/or transaction documentation of any kind, titles of ownership or documentary titles of ow-
nership of any Assets to be transferred under the Contribution, as well as any supporting documents relating to the IP
Activities carried out by the Contributing Company;

ii. the Beneficiary Company shall, to the possible extent:
a. take over the transferred Assets in the composition and status as they exist on the Legal Effective Date;
b. be subrogated in all the various rights, actions, obligations and commitments relating to the Assets to be contributed,

including in particular all rights and obligations deriving from a litigation to which the Contributing Company is or would
become party, either as plaintiff or as defendant, in connection with the IP Activities, as of the Legal Effective Date (if
any); and

c. be debtor with respect to all debts deriving from the IP Activities instead of and in lieu of the Contributing Company.
4.2 Vis-à-vis the Companies’ creditors
In accordance with article 297 of the Luxembourg Company Law, creditors of the Companies (including bondholders

and/or noteholders), whose debts predate the date of publication in the Luxembourg Official Gazette of the notary deed
recording the decision of the Sole Shareholder to proceed with the Contribution, will be able, within two months of such
publication,  to  apply  to  the  judge  presiding  the  chamber  of  the  Luxembourg  Tribunal  d'Arrondissement  dealing  with
commercial matters and sitting as in urgency matters, to obtain adequate safeguards for any matured and un-matured debts
where the Contribution would make such protection necessary (i.e. in case the creditors could demonstrate that due to the
Contribution, the satisfaction of their claim is/may be compromised).

5. Consideration for the contribution.
5.1 Issue of new shares in SwissCo
The parties agree, that the Beneficiary Company shall, as consideration for the Contribution of the Registered Trade-

marks, respectively the Net Contribution (which shall among the Companies be effective as of the Legal Effective Date):

i. have its capital increased by an amount of CHF 10,000 (the “Capital Increase”), so as to bring it from its present

amount of CHF 100,000 to an amount of CHF 110,000;

ii. have a contribution premium reserve set up and booked with an amount of CHF 706,227.14 as further described in

Section 5.2 of the Asset Transfer Plan and Contribution in Kind Agreement; and

iii. immediately following the registration of the Capital Increase with the commercial register of the canton Schaff-

hausen (the “Registration”) issue 100 newly created fully paid-up registered shares, each having a nominal value of CHF
100, ranking pari passu with the existing shares of SwissCo (the “Shares”) and allocate them to the Contributing Company
in consideration for the Contribution of the Registered Trademarks.

5.2 Value of the Contribution premium
The difference between the Net Contribution and the aggregate nominal value of the Shares in the amount of CHF

706,227.14 is credited as share premium (the “Contribution Premium”) to the capital contribution reserves of the Benefi-
ciary Company.

5.3 Other considerations
For sake of clarity, the Contribution of the Other Assets will be made at nil value.
No cash payment (soulte) will be made by the Beneficiary Company to the Contributing Company as direct consideration

for the Contribution.

The share capital of the Contributing Company shall not be decreased and none of the Contributing Company’s shares

shall be cancelled as a result of the Contribution.

6. Delivery modalities of the shares. Immediately following the Registration:
i. the Shares shall be issued under registered form;
ii. the Contributing Company shall be registered in the share register of the Beneficiary Company as the legal owner of

the Shares; and

iii. the capital contribution reserve of the Beneficiary Company shall be increased by the amount of the Contribution

Premium.

7. Profit entitlement - Date on which the shares will entitle the contributing company to benefit from the related pro-

fit. The Shares to be allotted to the Contributing Company will be vested, upon Registration, with all rights attached to the
existing shares of the Beneficiary Company, as set out in the Capital Increase Shareholders’ Resolution and its articles of
association, and will therefore entitle the Contributing Company to the profits and dividends of the Beneficiary Company
as of the Legal Effective Date.

8. Legal effective date - Effectiveness of the contribution. Subject to the Registration occurring, such Contribution will

be effective among the Companies with retroactive effect as of 1 January 2016 (the “Legal Effective Date”) and will entail
the transfer of the Assets to the Beneficiary Company as well as the beneficial rights resulting out of the Shares to the
Contributing Company as of such date.

As of the Legal Effective Date, the Beneficiary Company will become the sole legal owner of the Assets so transferred.

9. Transfer of employees.
9.1 Transferred Employee
The Companies acknowledge and agree that the Swiss law governed employment contract of Claudia Crescenzi (the

“Transferred Employee”) shall be transferred by operation of law in accordance with article 333 and 333a Swiss code of
obligations to the Beneficiary Company. Until the transfer, the Contributing Company shall continue employing the Trans-
ferred Employee and shall not amend the employment terms. The Contributing Company shall inform the Transferred
Employee of the prospective date of the transfer, the reasons for the transfer and the legal, economic and social consequences
the transfer will have on her employment conditions, as required by article 333a Swiss code of obligations. On the Regis-
tration  the  Beneficiary  Company  shall  take  over  the  Transferred  Employee  with  contractual  rights  and  obligations  as
existing on the Registration with retro-active effect as per the Legal Effective Date.

9.2 Transition
The Contributing Company shall be responsible, and indemnify the Beneficiary Company, for all salary payments and

other claims related to the employment of the Transferred Employee relating to periods before the Legal Effective Date,
including, but not limited to, (i) social security, pension scheme contributions and withholding tax relating to the Transferred
Employee, (ii) any salary, bonuses and incentive payments relating to periods before the Legal Effective Date, (iii) any
overtime accrued before the Legal Effective Date and (iv) any claims for any vacation accrued before the Legal Effective
Date.

The Beneficiary Company shall be responsible, and indemnify the Contributing Company, for all salary payments and

other claims related to the employment of the Transferred Employee relating to periods starting on or after the Legal
Effective Date, including, but not limited to, (i) social security, pension scheme contributions and withholding tax relating
to the Transferred Employee, (ii) any salary, bonuses and incentive payments relating to period starting on or after the
Legal Effective Date, (iii) any overtime accrued after the Legal Effective Date and (iv) any claims for any vacation which
will accrue on or after the Legal Effective Date.

9.3 Pension Fund

Subject to applicable laws and the relevant pension funds regulations, the Contributing Company shall procure that the

pension fund entitlement for the Transferred Employee will be transferred with effect as of the Legal Effective Date to the
pension scheme set up by the Beneficiary Company.

10. Tax/accounting effective date of the contribution. For tax and accounting purposes, the transfer of the Assets to the

Beneficiary Company will be deemed to be effective, and the IP Activities related to such Assets will be considered to be
undertaken by the Beneficiary Company, as of the Legal Effective Date as well.

11. Special benefits granted by the beneficiary company. No special benefit is to be granted by the Beneficiary Company

to the Contributing Company, or its Sole Shareholder.

12. Particular advantages granted to the members of the management bodies and/or to the statutory/independent auditors

of the companies. No particular advantages (in the sense of article 289 (2) g) of the Luxembourg Company Law) are to be
granted to the members of the board of directors or to the statutory/independent auditors of the Companies.

Furthermore, it should be noted that no report from the management board of the Companies or expert ad hoc report (as

requested in principle by respectively article 293 and 294 paragraph 1 of the Luxembourg Company Law) has been or will
be drawn-up for the purposes of the Contribution, as expressly agreed by the Sole Shareholder and OCG in application of
article 296 of the Luxembourg Company Law.

On the other hand, KPMG AG (Audit), with offices at Badenerstrasse 172, 8004 Zurich, Switzerland, has been appointed

by the Beneficiary Company to establish the confirmation report required for the purposes of the Capital Increase to be
implemented under Swiss law. Except for the fees in relation to the preparation of the aforementioned report, KPMG AG
(Audit) did not and will not receive any specific advantages from the Beneficiary Company.

13. Documents available for inspection. The Sole Shareholder of the Contributing Company is entitled to inspect the

following documents at the registered office of OCG (i.e. 24, avenue Emile Reuter, L-2420 Luxembourg), at least one
month prior to the date of its decision (to be recorded before a Luxembourg Notary), to proceed with the Contribution:

i. the Asset Transfer Plan and Contribution in Kind Agreement;
ii. the audited annual accounts and the management reports of the Contributing Company for the last two financial years,

i.e. the financial years ended 31 December 2013 and 2014;

iii. the Interim Accounts, which shall serve as financial statement for the purpose of article 295 (1) of the Luxembourg

Company Law.

14. Remedies exluded. The Companies agree that the right for recession of contract (“Vertragsrücktritt“) and any other

remedies seeking the same or similar result shall not apply.

15. Conditions. This Asset Transfer Plan and Contribution in Kind Agreement is subject to and shall enter into force

once the Sole Shareholder’s Approval has been obtained.

The obligations of the Companies under this Asset Transfer Plan and Contribution in Kind Agreement are subject to

the Registration, being specified that the Contribution itself remains subject to the approval of the Contribution by the Sole
Shareholder of the Contributing Company.

16. Language. The Asset Transfer Plan and Contribution in Kind Agreement are in English followed by a German

language translation; in case of discrepancy between the two versions, the German one shall prevail.

17. Juridiction and applicable law. This Asset Transfer Plan and Contribution in Kind Agreement is governed by Lu-

xembourg substantive law.

The Companies confirm that the contribution of a part of assets (apport d’une partie de l’actif) according the Luxembourg

Company law has analogue material effects as the transfer of assets according to articles 69 and seq. Of the Swiss merger
act.

All disputes arising out of or in connection with this Asset Transfer Plan and Contribution in Kind Agreement or the

transactions contemplated hereby shall be submitted to the exclusive juridiction of the courts of Luxembourg, Grand-Duchy
of Luxembourg.

Am 14. Dezember 2015, haben die jeweiligen Verwaltungsräte von:
1. Oriflame Cosmetics Global S.A., eine nach den Luxemburger Gesetzen errichtete und bestehende Aktiengesellschaft

(société anonyme) mit Gesellschaftssitz in 24, avenue Emile Reuter, 2420 Luxemburg, Grossherzogtum Luxemburg und
eingetragen im Luxemburger Handels- und Gesellschaftsregister unter der Nummer B. 176162 (“OCG” beziehungsweise
die “EINBRINGENDE GESELLSCHAFT”), mit einer Zweigniederlassung (succursale) unter dem Namen Oriflame Cos-
metics Global S.A., Luxemburg, Zweigniederlassung Schaffhausen, in Schaffhausen, Schweiz, eingetragen im Handels-
register  des  Kantons  Schaffhausen  unter  der  Nummer  CHE-458.709.603  (die  “SCHWEIZER  ZWEIGNIEDERLAS-
SUNG”),

und
2. Oriflame Cosmetics AG (vormals Oriflame Global e-commerce AG), eine Aktiengesellschaft gemäss Artikeln 620

ff. des Schweizerischen Obligationenrechts, mit Gesellschaftssitz c/o Oriflame Global Management AG, Bleicheplatz 3,
8200  Schaffhausen,  Schweiz,  und  eingetragen  im  Handelsregister  des  Kantons  Schaffhausen  unter  der  Nummer
CHE-411.515.463 (“SWISSCO” beziehungsweise die “EMPFANGENDE GESELLSCHAFT”; in dem vorliegenden Ver-
mögensübertragungsplan und Sacheinlagevertrag werden die Einbringende Gesellschaft und die Empfangende Gesell-
schaft,  sofern  nicht  anders  angegeben,  gemeinsam  als  die  “GESELLSCHAFTEN”  oder  einzeln  als  eine  “GESELL-
SCHAFT”) bezeichnet,

diesen Vermögensübertragungsplan gemäss den Bestimmungen und Anforderungen des Artikels 308bis-2 des Luxem-

burger Gesetzes vom 10. August 1915 über Handelsgesellschaften, in der jeweils gültigen Fassung (das „LUXEMBURGER
HANDELSGESETZ“) und unter Berücksichtigung der Artikel 69 ff. des Schweizerischen Fusionsgesetzes (Vermögens-
übertragung kraft Gesetzes, d.h. Übertragung ipso iure), Artikel 163d des Schweizerischen Gesetzes über das internationale
Privatrecht,  welches  eine  grenzüberschreitende  Vermögensübertragung  von  einer  Luxemburger  Gesellschaft  an  eine
Schweizerische Gesellschaft erlaubt (der „VERMÖGENSÜBERTRAGUNGSPLAN“) und diesen Sacheinlagevertrag ge-
mäss den Artikeln des Schweizer Obligationenrechts betreffend Kapitalerhöhung und Sacheinlage (der „SACHEINLA-
GEVERTRAG“)  (der  VERMÖGENSÜBERTRAGUNGSPLAN  und  der  SACHEINLAGEVERTRAG  gemeinsam  der
„VERMÖGENSÜBERTRAGUNGSPLAN UND SACHEINLAGEVERTRAG“) die nachfolgenden Bedingungen betref-
fend die Übertragung eines Teils des Vermögens (apport d’une partie de l’actif), welche zwischen der EINBRINGENDEN
GESELLSCHAFT und der EMPFANGENDEN GESELLSCHAFT am oder um den 26. Januar 2016 (die „ÜBERTRA-
GUNG“) herum stattfinden soll, vereinbart, wobei die EINBRINGENDE GESELLSCHAFT, ohne aufgelöst zu werden,
an die EMPFANGENDE GESELLSCHAFT übertragen soll:

i. alle mit den Tätigkeiten der OCG verbundenen Vermögenswerte bestehend aus (a) dem Eigentum, der Verwaltung

und Durchsetzung der Immaterialgüterrechte jeglicher Art (z.B. Marken, Know-How, Urheberrechte, Domainnamenre-
gistrierungen, Werbeslogans, Rezepturen, Designs etc. -zusammen die „IP RECHTE“ und einzeln ein „IP-RECHT“), wie
sie in Zusammenhang mit der Geschäftstätigkeit der OCG oder der verbundenen Unternehmen der Oriflame Unterneh-
mensgruppe (die „ORIFLAME GRUPPE“ oder die „GRUPPE“) verwendet werden und (b) der Erteilung von Lizenzen an
diesen IP RECHTEN und (c) jedem mit diesen IP-RECHTEN zusammenhängenden Nebengeschäft (die „IP AKTIVITÄ-
TEN“) (die „AKTIVA“); die AKTIVA werden in Abschnitt 2.1. unten näher aufgeführt/beschrieben;

ii. unter Ausschluss aller mit den IP AKTIVITÄTEN verbundenen Verbindlichkeiten und der bei der OCG verbleibenden

und insbesondere, aber nicht ausschliesslich, den in Abschnitt 2.2 unten beschriebenen Aktiva und Passiva (die „AUS-
GESCHLOSSENEN AKTIVA UND PASSIVA“).

Jede Bezugnahme auf die AKTIVA beziehungsweise auf die von OCG im Zusammenhang mit ihren IP AKTIVITÄTEN

eingegangenen Verträge und Vereinbarungen kann ebenfalls an die SCHWEIZER ZWEIGNIEDERLASSUNG zugewie-
sene  AKTIVA  beziehungsweise  die  zum  Zwecke  der  und/oder  durch  die  SCHWEIZER  ZWEIGNIEDERLASSUNG
geschlossenen Verträge und Vereinbarungen betreffen.

<i>Präambel

A. Die jeweiligen Verwaltungsräte der GESELLSCHAFTEN berücksichtigen:
- dass die ausserordentliche Generalversammlung der SWISSCO einstimmig am oder um den 14. Dezember 2015 eine

ordentliche Erhöhung des Aktienkapitals der SWISSCO von derzeit CHF 100‘000 um CHF 10‘000 durch die Ausgabe von
100 Namenaktien mit einem Nennwert von je CHF 100 beschlossen und festgelegt hat, dass die Liberierung durch eine
Sacheinlage erfolgen wird (der „BESCHLUSS DER GENERALVERSAMMLUNG“);

- dass die OCG diese 100 im Zuge der oben erwähnten Kapitalerhöhung neu ausgegebenen Namenaktien zeichnen soll

und die vollständige Liberierung dieser Aktien durch eine Sacheinlage der Registrierten Marken (wie weiter unten defi-
niert),  die  Teil  der  AKTIVA  sind,  erbringen  soll,  wobei  die  Übertragung  der  AKTIVA  von  der  Genehmigung  des
Alleinaktionärs von OCG abhängig ist;

- dass die OCG die AKTIVA an die SWISSCO übertragen soll; und
- von der in Artikel 308bis-2 Absatz 2 des LUXEMBURGER HANDELSGESETZES gebotenen Möglichkeit Gebrauch

zu machen ist, auf die beabsichtigte ÜBERTRAGUNG das Verfahren gemäss Artikel 285 bis 308 (unter Ausschluss von
Artikel 303) des LUXEMBURGER HANDELSGESETZES für Teilungen/Ausgliederungen (scissions) anzuwenden, da-
mit die beabsichtigte Übertragung der AKTIVA weitgehend kraft Gesetzes (d.h. durch Übertragung ipso iure) eintreten
kann, und von der in Artikel 69 ff. des Schweizerischen Fusionsgesetzes (Vermögensübertragung kraft Gesetzes, d.h.
Übertragung ipso iure), Artikel 163d des Schweizerischen Gesetzes über das Internationale Privatrecht, der eine grenz-
überschreitende Vermögensübertragung von einer Luxemburger Gesellschaft an eine Schweizer Gesellschaft erlaubt und
den Artikeln des Schweizerischen Obligationenrechts betreffend Kapitalerhöhung und Sacheinlage gebotenen Möglichkeit
Gebrauch zu machen.

B. Die beabsichtigte ÜBERTRAGUNG steht im Einklang mit dem vorherigen globalen Prozess der Neuorganisation

und Sitzverlegung der ORIFLAME GRUPPE, wobei die Geschäftsleitung der ORIFLAME GRUPPE beschlossen hat, die
rechtliche Struktur der ORIFLAME GRUPPE an ihrer operativen Struktur durch Verlegung von Luxemburg in die Schweiz
auszurichten. Dieses Vorhaben war Folge der schrittweise verbesserten operativen Effizienz durch die Umsetzung von
weltweit einheitlichen Systemen in den Bereichen IT, Finanzen und HR sowie E-Commerce, Cash-Pooling-Aktivitäten
und Bestandsrisikomanagement, wobei die ORIFLAME GRUPPE die Aktivitäten, Risiken, Verwaltung und Aufgaben in
die Schweiz verlegt hat. Um die neue rechtliche Struktur umzusetzen, veröffentlichte die Oriflame Holding AG („OHAG“)
im Juni 2015 ein Aktientauschangebot an die Aktionäre der obersten Holdinggesellschaft Oriflame Cosmetics S.A. Das
Angebot wurde erfolgreich abgeschlossen und die oberste Holdinggesellschaft der ORIFLAME GRUPPE verlegte ihren
Sitz von Luxemburg in die Schweiz. Daher ist die vorliegende Übertragung der IP RECHTE von OCG an die SWISSCO
eine Fortführung der Ausrichtung der rechtlichen Struktur an der operativen Struktur.

C. In Übereinstimmung mit der in Artikel 296 des LUXEMBURGER HANDELSGESETZES vorgesehenen Möglich-

keit verzichten die jeweiligen Aktionäre der GESELLSCHAFTEN ausdrücklich auf die Vorlage eines Berichts durch den
Verwaltungsrat der GESELLSCHAFTEN gemäss Artikel 293 des LUXEMBURGER HANDELSGESETZES oder eines
Sachverständigenberichts gemäss Artikel 294 LUXEMBURGER HANDELSGESETZES.

D. Der vorliegende VERMÖGENSÜBERTRAGUNGSPLAN UND SACHEINLAGEVERTRAG:
- wurde im Einklang mit den einschlägigen Bestimmungen des Artikels 289 des LUXEMBURGER HANDELSGE-

SETZES (d.h. unter Ausschluss der Absätze 2 b) und i) des Artikels 289 des Luxemburger Handelsgesetzes, welche bei
einer Übertragung nicht einschlägig sind, da eine solche Transaktion keinen Aktientausch per se betrifft (und das Fehlen
eines Aktientauschs eines der Elemente zur Unterscheidung der Übertragung von einer Teilung/Ausgliederung ist, für die
die Artikel 289 bis 308 des Luxemburger Handelsgesetzes im Wesentlichen konzipiert wurden) vorbereitet, um die Akti-
onäre, Gläubiger und/oder Vertragspartner der OCG und der SWISSCO mit allen erforderlichen Informationen betreffend
die beabsichtigte ÜBERTRAGUNG zu versorgen;

- wurde im Einklang mit den Artikeln 69 ff. des Schweizerischen Fusionsgesetzes, Artikel 163d des Schweizerischen

Gesetzes über das internationale Privatrecht und den Artikeln des Schweizerischen Obligationenrechts betreffend Kapi-
talerhöhung und Sacheinlage erstellt;

- basiert auf dem ungeprüften Zwischenabschluss der OCG zum 30. September 2015, der in Übereinstimmung mit den

in  Luxemburg  allgemein  anerkannten  Grundsätzen  der  Rechnungslegung  vorbereitet  wurde  (der  „ZWISCHENAB-
SCHLUSS“);

- wurde durch die jeweiligen Verwaltungsräte der GESELLSCHAFTEN gemäss der Beschlüsse vom 14. Dezember

2015 genehmigt und unterzeichnet;

- wird beim Luxemburger Handels- und Gesellschaftsregister zur Veröffentlichung im Mémorial C, Recueil des Sociétés

et Associations (das „AMTSBLATT DES GROSSHERZOGTUMS LUXEMBURG“) gemäss den Artikeln 290 und 9 des
LUXEMBURGER HANDELSGESETZES am oder um den 21. Dezember 2015 und in jedem Fall mindestens einen Monat
vor dem Datum der Durchführung der ÜBERTRAGUNG, hinterlegt;

- wird dem Alleinaktionär der EINBRINGENDEN GESELLSCHAFT (der „ALLEINAKTIONÄR“) gemäss Artikel

291 des LUXEMBURGER HANDELSGESETZES zur Genehmigung vorgelegt werden (die „GENEHMIGUNG DES
ALLEINAKTIONÄRS“).

E. Der Verwaltungsrat der EINBRINGENDEN GESELLSCHAFT erklärt, dass zum Zeitpunkt dieses VERMÖGENS-

ÜBERTRAGUNGSPLANS UND SACHEINLAGEVERTRAGS:

- keine wesentlichen Änderungen seit der Vorbereitung des ZWISCHENABSCHLUSSES eingetreten sind, die einen

negativen Einfluss auf die Bewertung der übertragenden AKTIVA haben könnte; und

- alle Transaktionen, Verträge, Vereinbarungen oder Verpflichtungen, die erfüllt und/oder ausgeführt werden konnten,

seit dem WIRKSAMKEITSDATUM dieses 2 d.h. unter Ausschluss der Absätze 2 b) und i) des Artikels 289 des Luxem-
burger Handelsgesetzes, welche bei einer Übertragung nicht einschlägig sind, da eine solche Transaktion keinen Aktien-
tausch per se betrifft (und das Fehlen eines Aktientauschs eines der Elemente zur Unterscheidung der Übertragung von
einer Teilung/Ausgliederung ist, für die die Artikel 289 bis 308 des Luxemburger Handelsgesetzes im Wesentlichen kon-
zipiert  wurden).  VERMÖGENSÜBERTRAGUNGSPLANS  UND  SACHEINLAGEVERTRAGS  bis  zum  Datum  der
GENEHMIGUNG DES ALLEINAKTIONÄRS im Zusammenhang mit der Übertragung der AKTIVA entweder (a) im
Rahmen der normalen Geschäftstätigkeit der EINBRINGENDEN GESELLSCHAFT mit Ausnahme von grösseren die
AKTIVA betreffenden Transaktionen und/oder Massnahmen oder (b) zum Zwecke der beabsichtigten ÜBERTRAGUNG
(in letzterem Fall erfolgt die Durchsetzbarkeit aller dieser Transaktionen, Verträge, Vereinbarungen oder Verpflichtungen
in Abhängigkeit der GENEHMIGUNG DES ALLEINAKTIONÄRS) durchgeführt werden.

1. Eigenschaften der Gesellschaften - Rechtsform, Gesellschaftsname und Gesellschaftssitz.
1.1 Die EINBRINGENDE GESELLSCHAFT
Die EINBRINGENDE GESELLSCHAFT:
i. wurde in Form einer Aktiengesellschaft (société anonyme) nach luxemburgischem Recht am 19. März 2013 unter

dem Gesellschaftsnamen “Oriflame GLOBAL S.A.”, ausweislich einer von Maître Carlo WERSANDT, Notar mit Sitz in
Luxemburg,  Grossherzogtum  Luxemburg  (der  „LUXEMBURGER  NOTAR“)  erhaltenen  Urkunde,  veröffentlicht  im
AMTSBLATT DES GROSSHERZOGTUMS Luxemburg Nummer 777 am 2. April 2013, gegründet, wurde am 21. Mai
2013 umbenannt in “ORIFLAME COSMETICS GLOBAL S.A“, ausweislich einer von dem unterzeichneten Notar erhal-
tenen Urkunde, veröffentlicht im AMTSBLATT DES GROSSHERZOGTUMS LUXEMBURG Nummer 1716 am 17. Juli
2013, und besteht seitdem unter diesem Gesellschaftsnamen;

ii. hat ihren Gesellschaftssitz in 24, avenue Emile Reuter, 2420 Luxemburg, Grossherzogtum Luxemburg;
iii. ist beim Luxemburger Handels- und Gesellschaftsregister unter der Nummer B 176.162 eingetragen;
iv. führt die in Artikel 4 ihrer Gesellschaftssatzung beschriebenen Tätigkeiten aus;
v. hat ein Stammkapital von EUR 3‘031‘000, eingeteilt in 3‘031‘000 voll eingezahlte Stammaktien mit einem Nennwert

von je EUR 1;

vi. ist kein börsennotiertes Unternehmen;
vii. hat weder Schuldverschreibungen (z.B. Anleihen, Notes etc.) noch irgendwelche anderen Wertpapiere ausgegeben,

die Rechte an ihrem Kapital oder Stimmrechte verleihen, und hat keine Massnahmen durchgeführt, die zur Ausgabe von
neuen Eigenkapitalinstrumenten führen können;

viii. hat eine SCHWEIZER ZWEIGNIEDERLASSUNG; und
ix. die SCHWEIZER ZWEIGNIEDERLASSUNG beschäftigt eine Arbeitnehmerin, die mit den AKTIVA verbunden

und/oder durch die ÜBERTRAGUNG betroffen ist, so dass die Artikel 333 ff. des Schweizerischen Obligationenrechts
Anwendung  finden.  Luxemburger  Recht,  insbesondere  die  Artikel  L.127-3  ff.  des  Luxemburger  Arbeitsgesetzbuches,
finden insoweit keine Anwendung.

1.2 Die EMPFANGENDE GESELLSCHAFT
Die EMPFANGENDE GESELLSCHAFT:
i. wurde in Form einer Aktiengesellschaft gemäss den Artikeln 620 ff. des Schweizerischen Obligationenrechts am 23.

Februar 2012 unter der Firma “Oriflame Global e-commerce AG” gegründet und wurde am 12. November 2015 in “Orif-
lame Cosmetics AG” umbenannt und besteht seitdem unter dieser Firma;

ii. hat ihren Gesellschaftssitz c/o Oriflame Global Management AG, Bleicheplatz 3, 8200 Schaffhausen, Schweiz;
iii. ist im Handelsregister des Kantons Schaffhausen unter der Nummer CHE-411.515.463 eingetragen;
iv. führt die in Artikel 2 ihrer Statuten beschriebenen Tätigkeiten aus;
v. hat ein Stammkapital von CHF 100‘000, eingeteilt in 1‘000 voll eingezahlte Namenaktien mit einem Nennwert von

je CHF 100;

vi. ist kein börsennotiertes Unternehmen;
vii. hat weder Schuldverschreibungen (z.B. Anleihen, Notes etc.) noch irgendwelche anderen Wertpapiere ausgegeben,

die Rechte an ihrem Kapital oder Stimmrechte verleihen, und hat keine Massnahmen durchgeführt, die zur Ausgabe von
neuen Eigenkapitalinstrumenten führen können.

1.3 Eigentümerstruktur und Verbindungen zwischen den GESELLSCHAFTEN

Die EINBRINGENDE GESELLSCHAFT hält gegenwärtig alle 1‘000 Namenaktien an der EMPFANGENDEN GE-

SELLSCHAFT, was 100% ihres Aktienkapitals und der Stimmrechte entspricht.

2. Im Rahmen der Übertragung zu Übertragende Aktiva. Zugunsten der EMPFANGENDEN GESELLSCHAFT werden

die AKTIVA, bestehend aus den REGISTRIERTEN MARKEN und den ANDEREN AKTIVA (wie unten definiert) über-
tragen, mitsamt und insbesondere dem vollständigen und uneingeschränkten Eigentum und/oder Aufwand und Nutzen:

2.1 Betreffend die AKTIVA
i. alle im wirtschaftlichen Eigentum der EINBRINGENDEN GESELLSCHAFT stehenden registrierten Marken, wie

sie in der diesem VERMÖGENSÜBERTRAGUNGSPLAN UND SACHEINLAGEVERTRAG beigefügten Anlage 1 und
im Anhang 1 zur Anlage 1 aufgelistet sind (die „REGISTRIERTEN MARKEN“) (die Anlage 1 und der Anhang 1 zur
Anlage 1 sind Bestandteil dieses VERMÖGENSÜBERTRAGUNGSPLANS UND SACHEINLAGEVERTRAGS) und
dienen als Sacheinlage; und

ii. alle nachfolgend aufgeführten, anderen Aktiva (die „ANDEREN AKTIVA“), ohne jedoch als Sacheinlage zu dienen:
a. alle im wirtschaftlichen Eigentum der EINBRINGENDEN GESELLSCHAFT stehenden IP RECHTE (mit Ausnahme

der oben beschriebenen REGISTRIERTEN MARKEN), wie sie jeweils nach ihrer Art (z.B. Marken, Know-How, Urhe-
berrechte, Domainnamenregistrierungen, Werbeslogans, Rezepturen, Designs etc.), in der diesem VERMÖGENSÜBERT-
RAGUNGSPLAN UND SACHEINLAGEVERTRAG beigefügten Anlage 1 und den Anhängen zur Anlage 1 aufgelistet
sind (die Anlage 1 und die Anhänge zur Anlage 1 sind Bestandteil dieses VERMÖGENSÜBERTRAGUNGSPLANS UND
SACHEINLAGEVERTRAGS); und

b. die mit allen Verträgen, Vereinbarungen und/oder vertraglichen Abmachungen gleich welcher Form verbundenen

Rechte und Pflichten im Zusammenhang mit den zu übertragenden IP AKTIVITÄTEN, bei denen die EINBRINGENDE
GESELLSCHAFT Partei ist, insbesondere alle Lizenzen und/oder Unterlizenzverträge, wie sie in diesem VERMÖGENS-
ÜBERTRAGUNGSPLAN  UND  SACHEINLAGEVERTRAG  beigefügter  Anlage  2  aufgeführt  sind  (die  Anlage  2  ist
Bestandteil dieses VERMÖGENSÜBERTRAGUNGSPLANS UND SACHEINLAGEVERTRAGS);

c. alle anderen mit den IP AKTIVITÄTEN verbundenen IP RECHTE (unter Ausschluss der Lizensierten IP Rechte

Dritter - wie weiter unten näher definiert), die aus Versehen nicht in Liste 1 und Liste 2 aufgelistet wurden;

d. alle Forderungen auf Grund der im Zusammenhang mit den IP RECHTEN erbrachten Dienstleistungen oder gelie-

ferten Waren am oder nach dem WIRKSAMKEITSDATUM (wie in Abschnitt 8 unten näher definiert).

Zur Klarstellung sei angemerkt, dass jegliche Forderungen, die vor dem 31. Dezember 2015 entstanden sind, bei der

EINBRINGENDEN GESELLSCHAFT verbleiben und alle Forderungen, die am oder nach dem 1. Januar 2016 entstehen,
bei der EMPFANGENDEN GESELLSCHAFT verbleiben.

2.2 AUSGESCHLOSSENE AKTIVA UND PASSIVA
i. Fremdkapital;
ii. alle Verbindlichkeiten gegenüber den Ämtern für gewerblichen Rechtsschutz, bei denen die IP RECHTE registriert

sind,  und/oder  anderen  (öffentlichen/privaten)  Stellen  im  Zusammenhang  mit  den  IP  AKTIVITÄTEN  der  EINBRIN-
GENDEN GESELLSCHAFT;

iii. alle anderen Verbindlichkeiten und gegebenenfalls Aufwendungen gleich welcher Art und Form im Zusammenhang

mit den IP AKTIVITÄTEN der EINBRINGENDEN GESELLSCHAFT;

iv.  alle  Verbindlichkeiten  in  Zusammenhang  mit  den  IP  RECHTEN  für  die  Zeit  beginnend  mit  dem  WIRKSAM-

KEITSDATUM;

v. Lizenzen von IP Rechten Dritter (die “LIZENSIERTEN IP RECHTE DRITTER“); und
vi. die mit Verträgen, Vereinbarungen und/oder vertraglichen Abmachungen gleich welcher Form im Zusammenhang

mit den LIZENSIERTEN IP RECHTEN DRITTER verbundenen Rechte und Pflichten, bei denen die EINBRINGENDE
GESELLSCHAFT Partei ist.

vii. die mit den Verträgen, Vereinbarungen und/oder vertraglichen Abmachungen gleich welcher Form verbundenen

Rechte und Pflichten bei denen die EINBRINGENDE GESELLSCHAFT Partei ist, wie sie in diesem VERMÖGENS-
ÜBERTRAGUNGSPLAN  UND  SACHEINLAGEVERTRAG  beigefügter  Anlage  3  aufgeführt  sind  (die  Anlage  3  ist
Bestandteil dieses VERMÖGENSÜBERTRAGUNGSPLANS UND SACHEINLAGEVERTRAGS);

Anschliessend werden die in Abschnitt 2.1 aufgeführten AKTIVA nach Kategorie beschrieben und ihr Nettobuchwert

(valeur nette comptable) gemäss ZWISCHENABSCHLUSS angegeben. Der Nettobuchwert soll als Referenzwert für die
Übertragung dienen.

2.4 Beschreibung und Bewertung der bei der EMPFANGENDEN GESELLSCHAFT einzubringenden AKTIVA

2.5 Bei der EMPFANGENDEN GESELLSCHAFT einzubringendes Nettovermögen
Um Zweifel auszuschliessen wird vereinbart, dass die oben aufgeführten AKTIVA in ihrem zum WIRKSAMKEITS-

DATUM bestehenden Zustand und zum Nettobuchwert übertragen werden.

Auf Grundlage des ZWISCHENABSCHLUSSES entspricht das bei der EMPFANGENDEN GESELLSCHAFT ein-

zubringende Nettovermögen (d.h. der Gesamtbetrag der AKTIVA) (der „NETTOVERMÖGEN“) EUR 656‘186.11 (dies
entspricht CHF 716‘227.14 wobei bei der Umrechnung in CHF der von der Europäischen Zentralbank festgesetzte Kurs,
veröffentlicht am 30. September 2015 auf der folgenden offiziellen Webseite http://www.ecb.europa.eu/stats/exchange/
eurofxref/html/index.en.html, verwendet wurde).

Bei der Ermittlung des NETTOVERMÖGENS sind keine besonderen Schwierigkeiten aufgetreten.

3. Durchführung der Übertragung.
3.1 Durchführungsformalitäten
Die Übertragung gewisser AKTIVA an die EMPFANGENDE GESELLSCHAFT kann zusätzliche Handlungen und

Vereinbarungen (bspw. Abtretung, Novation, Kauf und Verkauf, Verzichtserklärung, Ergänzung, etc.) gemäss anwend-
barem Recht erfordern (vor allem gemäss anwendbarem Recht des Landes, für dessen Gebiet für Immaterialgüterrechte
Schutz ersucht wird).

Die GESELLSCHAFTEN werden, mit Wirkung vor dem WIRKSAMKEITSDATUM, jedwelche Vereinbarungen, zu-

sätzliche Dokumente, Anhänge, Papiere, Formulare, Notizen, Anzeigen, Urkunden, Vollmachten, Schreiben, Zertifikate,
Anerkennungen, Instruktionen, Vertragsergänzungen, Verzichtserklärungen, Bestätigungen, schriftliche Erklärungen etc.
abgeben bzw. erstellen, welche gemäss Luxemburgischem Recht oder dem Recht eines anderen Staates erforderlich ist
und/oder jedwelche Handlungen vornehmen und/oder jedwelche Erklärungen, Publikationen, Bestätigungen etc. abgeben,
welche gemäss anwendbarem Recht und Jurisdiktion erforderlich oder wünschenswert ist um:

i. die Übertragung der AKTIVA von der EINBRINGENDEN GESELLSCHAFT an die EMPFANGENDE GESELL-

SCHAFT rechtswirksam zu vollziehen; und/oder

ii. die IP AKTIVITÄTEN der EINBRINGENDEN GESELLSCHAFT durch die EMPFANGENDE GESELLSCHAFT

auszuführen und zu betreiben.

3.2 Zusätzliche Formalitäten
Die GESELLSCHAFTEN werden zudem alle notwendigen, wünschenswerten oder angemessenen Formalitäten (inkl.

Einreichung von Dokumenten bei Behörden und Publikationen) gemäss anwendbarem Recht und entsprechender Juris-
diktion, namentlich gemäss dem Vertragsstatut bei Verträgen bezüglich der IP AKTIVITÄTEN und/oder gemäss dem
Recht des Landes, für dessen Gebiet für Immaterialgüterrechte Schutz ersucht wird und/oder gemäss dem Recht des Ortes
des angerufenen Gerichts bei anhängigen Verfahren bezüglich der IP AKTIVITÄTEN vornehmen, um die ÜBERTRA-
GUNG zu vollziehen und/oder die Wirksamkeit der ÜBERTRAGUNG gegenüber Vertragsparteien von OCG und/oder
anderen Drittparteien sicherzustellen.

Anlässlich des Notartermins vor dem LUXEMBURGER NOTAR zur Zustimmung zu diesem VERMÖGENSÜBERT-

RAGUNGSPLAN UND SACHEINLAGEVERTRAG durch den ALLEINAKTIONÄR wird die Vornahme der beschrie-
benen Formalitäten auf Verlangen des LUXEMBURGER NOTARS durch den ALLEINAKTIONÄR belegt.

4. Folgen der Übertragung Zwischen den Gesellschaften und Gegenüber Gläubigern.
4.1 Gegenüber den Gesellschaften
Unmittelbar nach der EINTRAGUNG DER KAPITALERHÖHUNG (wie unten definiert) und mit Wirkung per WIRK-

SAMKEITSDATUM:

i. übergibt die EINBRINGENDE GESELLSCHAFT der EMPFANGENDEN GESELLSCHAFT, soweit möglich, die

Originale von Verträgen, weiteren Dokumenten und Eigentumsurkunden bezüglich aller AKTIVA, welche übertragen
werden,  sowie  weitere  Dokumente  bezüglich  der  IP  AKTIVITÄTEN,  welche  von  der  EINBRINGENDEN  GESELL-
SCHAFT ausgeführt werden;

ii. wird die EMPFANGENDE GESELLSCHAFT, soweit möglich:
a. die übertragenen AKTIVA gemäss Zustand und Status per WIRKSAMKEITSDATUM entgegennehmen;
b. in alle verschiedene Rechte, Rechtspositionen und Verpflichtungen betreffend die übertragenen AKTIVA eintreten,

einschliesslich namentlich in Rechte und Verpflichtungen aus allfälligen Verfahren in Zusammenhang mit den IP AKTI-
VITÄTEN, in welchen die EINBRINGENDE GESELLSCHAFT Partei ist oder Partei werden könnte (als Klägerin oder
Beklagte); und

c. anstelle der EINBRINGENDEN GESELLSCHAFT in die Schuldnerstellung bezüglich aller Schulden im Zusam-

menhang mit den IP AKTIVITÄTEN eintreten.

4.2 Gegenüber Gläubiger der GESELLSCHAFTEN
Gemäss Artikel 297 des LUXEMBURGER HANDELSGESETZES können Gläubiger der GESELLSCHAFTEN (ein-

schliesslich Inhaber von Obligationen) für Forderungen vor dem Datum der Publikation der notariellen Urkunde über die
GENEHMIGUNG  DES  ALLEINAKTIONÄRS  zur  Übertragung  der  AKTIVA  im  AMTSBLATT  DES  GROSSHER-
ZOGTUMS LUXEMBURG, binnen zwei Monaten nach solcher Publikation, beim zuständigen Richter in Luxemburg die
Leistung angemessener Sicherheiten für fällige und noch nicht fällige Forderungen beantragen, falls die Übertragung der
AKTIVA solche Sicherheiten notwendig erscheinen lassen (bspw. falls die Gläubiger nachweisen dass die Erfüllung ihrer
Forderungen gefährdet ist oder gefährdet sein könnte).

5. Gegenleistung für die Übertragung.
5.1 Ausgabe von neuen Aktien der SWISSCO
Die Parteien vereinbaren, dass die EMPFANGENDE GESELLSCHAFT als Gegenleistung für die Übertragung und

Sacheinlage der REGISTRIERTEN MARKEN bzw. des NETTOVERMÖGENS (welche zwischen den GESELLSCHAF-
TEN per WIRKSAMKEITSDATUM wirksam ist):

i. das Aktienkapital von derzeit CHF 100‘000 um CHF 10‘000 auf CHF 110‘000 erhöhen wird (die „KAPITALER-

HÖHUNG“);

ii. eine Kapitaleinlagereserve bilden und darin den Betrag von CHF 706‘227.14 gutschreiben gemäss näherer Um-

schreibung  in  Abschnitt  5.2  dieses  VERMÖGENSÜBERTRAGUNGSPLANS  UND  SACHEINLAGEVERTRAGES
wird; und

iii. unmittelbar nach der Eintragung der Kapitalerhöhung im Handelsregister des Kantons Schaffhausen (die „EIN-

TRAGUNG DER KAPITALERHÖHUNG“) 100 neue, vollständig liberierte Namenaktien mit einem Nennwert von je
CHF 100, mit gleichen Rechten wie die bisherigen Namenaktien der EMPFANGENDEN GESELLSCHAFT (die „NEUEN
AKTIEN“), an die EINBRINGENDE GESELLSCHAFT als Gegenleistung für die Sacheinlage der REGISTRIERTEN
MARKEN ausgeben wird.

5.2 Wert des Agios
Die Differenz zwischen dem Nettobuchwert der REGISTRIERTEN MARKEN und dem gesamten Nominalwert der

NEUEN AKTIEN im Umfang von CHF 706‘227.14 wird als Agio (das „AGIO“) den Kapitaleinlagereserven der EMP-
FANGENDEN GESELLSCHAFT gutgeschrieben.

5.3 Andere Gegenleistungen
Aus Gründen der Klarheit sei erwähnt, dass die Übertragung der ANDEREN AKTIVA zu einem Wert gleich Null

erfolgen wird.

Für die Übertragung der AKTIVA ist keine Gegenleistung in cash (soulte) der EMPFANGENDEN GESELLSCHAFT

an die EINBRINGENDE GESELLSCHAFT geschuldet.

Das Aktienkapital der EINBRINGENDEN GESELLSCHAFT soll nicht herabgesetzt werden und keine Aktien der

EINBRINGENDEN GESELLSCHAFT werden aufgrund der ÜBERTRAGUNG vernichtet.

6. Ausgabeformalitäten Bezüglich der Neuen Aktien . Unmittelbar nach der EINTRAGUNG DER KAPITALERHÖ-

HUNG:

i. werden die NEUEN AKTIEN in Form von Namenaktien ausgegeben;
ii. wird die EINBRINGENDE GESELLSCHAFT im Aktienbuch der EMPFANGENDEN GESELLSCHAFT als recht-

mässige Eigentümerin der NEUEN AKTIEN eingetragen; und

iii. werden die Kapitaleinlagereserven der EMPFANGENDEN GESELLSCHAFT im Umfang des AGIOS erhöht.

7. Dividendenberechtigung - Datum, Ab Welchem die Einbringende Gesellschaft an den mit den Neuen Aktien Ver-

bundenen Vorteilen Berechtigt ist. Mit der EINTRAGUNG DER KAPITALERHÖHUNG enthalten die NEUEN AKTIEN
dieselben Rechte, welche die bisherigen Aktien der EMPFANGENDEN GESELLSCHAFT enthalten, wie diese im BE-
SCHLUSS DER GENERALVERSAMMLUNG und den Statuten der EMPFANGENDEN GESELLSCHAFT umschrie-
ben  sind  und  daher  ist  die  EINBRINGENDE  GESELLSCHAFT  bezüglich  der  NEUEN  AKTIEN  gewinn-  und
dividendenberechtigt ab dem WIRKSAMKEITSDATUM.

8. Wirksamkeitsdatum - Wirksamkeit der Übertragung.  Vorbehaltlich  der  EINTRAGUNG  DER  KAPITALERHÖ-

HUNG entfaltet die ÜBERTRAGUNG zwischen den GESELLSCHAFTEN rückwirkende Wirkung per 1. Januar 2016
(das „WIRKSAMKEITSDATUM“), womit die Übertragung aller AKTIVA an die EMPFANGENDE GESELLSCHAFT
wie auch die Berechtigung der EINBRINGENDEN GESELLSCHAFT an allen Rechten an den NEUEN AKTIEN per
diesem Datum wirksam ist.

Per  WIRKSAMKEITSDATUM  ist  die  EMPFANGENDE  GESELLSCHAFT  Alleineigentümerin  der  übertragenen

AKTIVA.

9. Übergang von Arbeitsverhältnissen.
9.1 ÜBERGEHENDE ARBEITNEHMERIN
Die GESELLSCHAFTEN anerkennen und vereinbaren, dass das Arbeitsverhältnis von Claudia Crescenzi (die ÜBER-

GEHENDE  ARBEITNEHMERIN“),  auf  das  Schweizer  Recht  Anwendung  findet,  gemäss  Artikel  333  und  333a  des
Schweizer  Obligationenrechts  von  Gesetzes  wegen  auf  die  EMPFANGENDE  GESELLSCHAFT  übergeht.  Die  EIN-
BRINGENDE GESELLSCHAFT wird bis dahin das Arbeitsverhältnis mit der ÜBERGEHENDEN ARBEITNEHMERIN
zu den bisherigen Bedingungen fortführen. Die EINBRINGENDE GESELLSCHAFT wird die ÜBERGEHENDE AR-
BEITNEHMERIN gemäss Artikel 333a des Schweizer Obligationenrechts rechtzeitig vor Vollzug des Übergangs über das
Datum des Übergangs, den Grund des Übergangs sowie die rechtlichen, wirtschaftlichen und sozialen Folgen informieren.
Mit EINTRAGUNG DER KAPITALERHÖHUNG geht das Arbeitsverhältnis der ÜBERGEHENDEN ARBEITNEH-
MERIN mit allen bei der EINTRAGUNG DER KAPITALERHÖHUNG bestehenden Rechten und Pflichten mit rück-
wirkender Wirkung per WIRKSAMKEITSDATUM auf die EMPFANGENDE GESELLSCHAFT über.

9.2 Übergangsphase
Die EINBRINGENDE GESELLSCHAFT trägt, und hält die EMPFANGENDE GESELLSCHAFT schadlos für, Lohn-

forderungen und andere mit dem Arbeitsverhältnis der ÜBERGEHENDEN ARBEITNEHMERIN zusammenhängenden
Forderungen betreffend die Phase vor dem WIRKSAMKEITSDATUM, insbesondere, aber nicht ausschliesslich, (i) So-
zialversicherungsbeiträge, Pensionskassenbeiträge und Verrechnungssteuer im Zusammenhang mit der ÜBERGEHEN-
DEN ARBEITNEHMERIN, (ii) Lohn- und Bonuszahlungen betreffend die Phase vor dem WIRKSAMKEITSDATUM,
(iii) allfällige Überstunden- und Überzeitforderungen für die Phase vor dem WIRKSAMKEITSDATUM und (iv) allfällige
Ferienansprüche für die Phase vor dem WIRKSAMKEITSDATUM.

Die EMPFANGENDE GESELLSCHAFT trägt, und hält die EINBRINGENDE GESELLSCHAFT schadlos für, Lohn-

forderungen und andere mit dem Arbeitsverhältnis der ÜBERGEHENDEN ARBEITNEHMERIN zusammenhängenden
Forderungen betreffend die Phase ab dem WIRKSAMKEITSDATUM, insbesondere, aber nicht ausschliesslich, (i) Sozi-
alversicherungsbeiträge, Pensionskassenbeiträge und Verrechnungssteuer im Zusammenhang mit der ÜBERGEHENDEN
ARBEITNEHMERIN,  (ii)  Lohn-  und  Bonuszahlungen  betreffend  die  Phase  ab  dem  WIRKSAMKEITSDATUM,  (iii)
allfällige  Überstunden-  und  Überzeitforderungen  für  die  Phase  ab  dem  WIRKSAMKEITSDATUM  und  (iv)  allfällige
Ferienansprüche für die Phase ab dem WIRKSAMKEITSDATUM.

9.3 Pensionskasse
Vorbehaltlich anwendbarem Recht und Reglemente der relevanten Pensionskassen wird die EINBRINGENDE GE-

SELLSCHAFT dafür sorgen, dass die Pensionskassenguthaben der ÜBERGEHENDEN ARBEITNEHMERIN mit Wir-
kung  per  WIRKSAMKEITSDATUM  auf  die  Pensionskasse  der  EMPFANGENDEN  GESELLSCHAFT  übertragen
werden.

10. Wirksamkeit der Übertragung für Steuer- Und Buchhaltungszwecke. Auch für Steuer- und Buchhaltungszwecke ist

die Übertragung der AKTIVA auf die EMPFANGENDE GESELLSCHAFT per WIRKSAMKEITSDATUM wirksam und
die IP AKTIVITÄTEN im Zusammenhang mit den übertragenen AKTIVA gelten per WIRKSAMKEITSDATUM als
durch die EMPFANGENDE GESELLSCHAFT erbracht.

11. Besondere Durch die Empfangende Gesellschaft Gewährte Vorteil. Es werden der EINBRINGENDEN GESELL-

SCHAFT oder ihrem ALLEINAKTIONÄR durch die EMPFANGENDE GESELLSCHAFT keine besonderen Vorteile
gewährt.

12. Besondere dem Verwaltungsrat Oder der Revisionstelle der Gesellschaften Gewährte Vorteile. Den Mitgliedern des

Verwaltungsrates oder der Revisionsstelle der GESELLSCHAFTEN wurden keine speziellen Vorteile (im Sinne von Ar-
tikel 289 Absatz 2 lit g. des LUXEMBURGER HANDELSGESETZES) gewährt.

Weiter wird festgehalten, dass der ALLEINAKTIONÄR und OCG gemäss expliziter Vereinbarung im Sinne von Artikel

296 des LUXEMBURGER HANDELSGESETZES darauf verzichten, einen Bericht des Verwaltungsrates der GESELL-
SCHAFTEN  oder  einen  ad  hoc  Sachverständigenbericht  (wie  grundsätzlich  gemäss  Artikel  293  und  294  Abs.  1  des
LUXEMBURGER HANDELSGESETZES vorgesehen) anlässlich der ÜBERTRAGUNG zu erstellen.

Allerdings wird darauf hingewiesen, dass KPMG AG, Badenerstrasse 172, 8004 Zürich, Schweiz, von der EMPFAN-

GENDEN GESELLSCHAFT zur Ausstellung der Prüfungsbestätigung, welche anlässlich der KAPITELERHÖHUNG
erforderlich ist, mandatiert worden ist. Abgesehen für das Honorar im Zusammenhang mit der Ausstellung der Prüfungs-
bestätigung  hat  KPMG  AG  nicht  und  wird  nicht  spezielle  Vorteile  von  der  ÜBERNEHMENDEN  GESELLSCHAFT
erhalten.

13. Gewährung des Einsichtsrechts. Der ALLEINAKTIONÄR der EINBRINGENDEN GESELLSCHAFT ist berech-

tigt, während mindestens eines Monats vor Beschlussfassung der EINBRINGENDEN GESELLSCHAFT zur Durchfüh-
rung der ÜBERTRAGUNG (welche vor einem Luxemburger Notar stattfinden wird), am Sitz von OCG (d.h. 24, avenue
Emile Reuter, L-2420 Luxemburg) in folgende Unterlagen Einsicht zu nehmen:

i. diesen VERMÖGENSÜBERTRAGUNGSPLAN UND SACHEINLAGEVERTRAG;
ii. die geprüften Jahresrechnungen und Jahresberichte der EINBRINGENDEN GESELLSCHAFT für mindestens die

beiden letzten Geschäftsjahre, d.h. die für Geschäftsjahre endend am 31. Dezember 2013 und 31. Dezember 2014;

iii. den ZWISCHENABSCHLUSS, welcher als Übertragungsbilanz im Sinne von Artikel 295 Absatz 1 des LUXEM-

BURGER HANDELSGESETZES dient.

14. Ausschluss von Rechtsbehelfen. Die GESELLSCHAFTEN vereinbaren, dass das Recht zum Vertragsrücktritt und

sämtliche übrigen gesetzlichen Rechtsbehelfe, welche auf die gleichen oder auf ähnliche Rechtsfolgen ausgerichtet sind,
keine Anwendung finden.

15. Aufschiebende Bedingung. Dieser VERMÖGENSÜBERTRAGUNGSPLAN UND SACHEINLAGEVERTRAG

ist suspensiv bedingt und tritt erst in Kraft, wenn die GENEHMIGUNG DES ALLEINAKTIONÄRS vorliegt.

Die Verpflichtungen der GESELLSCHAFTEN unter diesem VERMÖGENSÜBERTRAGUNGSPLAN UND SACH-

EINLAGEVERTRAG  stehen  unter  der  aufschiebenden  Bedingung,  dass  die  EINTRAGUNG  DER  KAPITALERHÖ-
HUNG stattfindet. Insoweit sei darauf hingewiesen, dass die ÜBERTRAGUNG selbst abhängig ist von der Genehmigung
des ALLEINAKTIONÄRS der EINBRINGENDEN GESELLSCHAFT.

16. Sprache. Der VERMÖGENSÜBERTRAGUNGSPLAN UND SACHEINLAGEVERTRAG ist in englischer und

deutscher Sprache verfasst; bei Konflikten zwischen den beiden Texten ist der deutsche Text massgebend.

17. Gerichtsstand und Anwendbares recht. Dieser Vermögensübertragungsplan und Sacheinlagevertrag untersteht in

allen Teilen materiellen Luxemburgischem Recht.

Die Gesellschaften bestätigen, dass für das Institut der Übertragung eines Vermögens ode reines Verm¨gensteils gemäss

dem Luxemburgischen Handelsgesetz analoge Rechtwirkungen bestehen wie bei der Vermögensübertragung nach Art. 69
ff. des Schweizer Fusionsgesetzes.

Ausschliesslicher Gerichtsstand für alle sich aus oder im Zusammenhang mit diesem vermögesübertragungsplan und

Sacheinlagevertrag ergebenden Streitigkeiten ist Luxemburg, Grossherzogtum Luxemburg.
