with the Luxembourg Register of Commerce and Companies under number B-147923 (“RBS Luxembourg” or the “Ab-
sorbed Company”), incorporated by a deed of Maître Joëlle Baden, notary currently residing in Luxembourg dated 29
July 2009, published in the Memorial C, Recueil des Sociétés et Associations number 1862 of 25 September 2009, whose
articles of association have been amended for the last time by deed of Maître Joëlle Baden, notary, residing in Luxembourg,
dated 21 December 2010, published in the Memorial C, Recueil des Sociétés et Associations under number 806 of 23
April 2011,

hereby represented by Mr Blaise Garban, Head of Legal, professionally residing in Luxembourg,
by virtue of resolutions approved by the board of directors of RBS Luxembourg on 5 June 2014,
the above mentioned proxy, after having been signed “ne varietur” by the appearing person and the undersigned notary,

shall remain attached to the present deed.

The appearing parties, represented as stated hereabove, have requested the undersigned notary to record the following

joint cross-border merger terms:

1. Definitions and interpretation. Definitions
In these Merger Terms, the following terms shall have the following meanings, unless the context otherwise requires:
“Absorbed Company” has the meaning given above.
“Absorbing Company” has the meaning given above.
“CBM” means the proposed cross-border merger between RBS plc and RBS Luxembourg pursuant to these Merger

Terms,

(i) as a result of which RBS plc will acquire all of the assets and liabilities of RBS Luxembourg under universal succession

of title; and

(ii) as a result of which RBS Luxembourg will cease to exist, in accordance with the UK Regulations and the Luxembourg

Regulations.

“CET” means Central European Time.
“CSSF” means the Supervisory Authority of the Luxembourg Financial Sector (Commission de Surveillance du Secteur

Financier).

“Court of Session” means the Court of Session in Scotland.
“Deed of Irrevocable Offer” means the deed of irrevocable offer relating to the transfer to RBS plc of the assets and

liabilities of RBS Luxembourg pursuant to the CBM, which is attached to these Merger Terms as Annex 1.

“Directive” means the Directive on Cross-Border Mergers of Limited Liability Companies (2005/56/EC).
“Directors’ Report” has the meaning given to it in paragraph 5 of these Merger Terms.
“Effective Time” means the date and time specified in the order made by the Court of Session, on which the conse-

quences of the CBM, as set out in Regulation 17(1) of the UK Regulations and Article 274 of the Luxembourg Regulations,
are to have effect between the Parties to the CBM, which is expected to be 1 November 2014 at 00.01 hours GMT and
01.01 hours CET.

“Final Order” has the meaning given in paragraph 3.5 of these Merger Terms.
“GMT” means Greenwich Mean Time.
“Luxembourg Official Gazette” means the Mémorial C, Recueil des Sociétés et Associations.
“Luxembourg Regulations” means the law of 10 August 1915 regarding commercial companies, as further amended

to date, including the law of 10 June 2009 concerning crossborder mergers of limited liability companies which implements
the Directive.

“Merger  Terms”  means  the  present  merger  terms  of  the  cross-border  merger  by  absorption  by  RBS  plc  of  RBS

Luxembourg a wholly-owned subsidiary of RBS plc.

“Parties to the CBM” means RBS plc and RBS Luxembourg.
“PRA” means the Prudential Regulation Authority of the United Kingdom (or any predecessor authority or authorities

(including the Financial Services Authority) or successor authority or authorities carrying out banking and/or insurance
regulatory functions in the United Kingdom from time to time).

“Proposed Transfers” has the meaning given in paragraph 2.1 of these Merger Terms.
“RBSG” has the meaning given in paragraph 2.1 of these Merger Terms.
“RBS Group” means The Royal Bank of Scotland Group plc and its subsidiary and subsidiary undertakings.
“RBS Luxembourg” has the meaning given above.
“RBS NV” has the meaning given in paragraph 2.1 of these Merger Terms.
“RBS plc” has the meaning given above.

“RBS plc’s Branch” means the branch of RBS plc in Luxembourg to be established and registered after the date of these

Merger Terms.

“Transferring Employees” means the employees of RBS Luxembourg immediately prior to the Effective Time.
“UK Regulations” means the Companies (Cross-Border Mergers) Regulations 2007 (SI 2007/2974).
Interpretation
In these Merger Terms, unless the context otherwise requires or unless otherwise specified:
(i) references to any statute or statutory provision or any order or regulation shall be construed as a reference to

that statute, provision or regulation as extended, modified, amended, replaced or re-enacted from time to time (whether
before or after the date of these Merger Terms);

(ii) all references to recitals, sections, chapters, paragraphs or Annexes are to the recitals, sections, chapters, para-

graphs and Annexes of these Merger Terms;

(iii) references to any court, tribunal, judge, registry, supervisory authority or other public authority shall be construed

so as to include its successors, with regard to any of its powers as at the date of these Merger Terms; and

(iv) headings are for convenience only and shall not affect the interpretation of these Merger Terms.

2. Introduction.
2.1 On 19 April 2011, it was announced that the boards of The Royal Bank of Scotland Group plc (“RBSG”), RBS plc,

RBS Holdings N.V. and The Royal Bank of Scotland N.V. (“RBS NV”) had approved the proposed transfer of a substantial
part of the business activities of RBS NV to RBS plc (the “Proposed Transfers”). As part of the Proposed Transfers, the
shares of RBS Luxembourg were transferred from RBS NV to RBS plc on 2 July 2012 and the CBM is to be effected as
part of the RBS Group’s strategy to simplify its structure and thereby reduce risk, cost and complexity.

2.2 The CBM will come into effect on the date, and at the time, specified in the order made by the Court of Session,

at which time, and subject to the satisfaction of the conditions in Chapter 3 of these Merger Terms, the consequences
of the CBM, as set out in Regulation 17(1) of the UK Regulations and Article 274 of the Luxembourg Regulations, are to
have effect and which is expected to be 1 November 2014 at 00.01 hours GMT and 01.01 hours CET. As from the Effective
Time (i) the transactions of RBS Luxembourg will be treated for accounting purposes as being those of RBS plc, and (ii)
the financial data of RBS Luxembourg will be accounted for in the annual accounts of RBS plc.

2.3 Under the CBM, RBS plc will acquire all of the assets and liabilities of RBS Luxembourg including the assets listed

in Annex 2, under universal succession of title and RBS Luxembourg will cease to exist.

2.4 RBS plc’s current intention is that, following the completion of the CBM, it will continue the activities which are

transferred to it pursuant to the CBM through RBS plc’s Branch.

2.5 These Merger Terms and the ancillary documents annexed hereto will be filed with the Registrar of Companies in

Scotland and notarised by a Luxembourg civil law notary which will file them with the Luxembourg Register of Commerce
and Companies.

2.6 These Merger Terms, the ancillary documents annexed hereto and the Directors’ Report will be deposited at the

registered office of RBS plc for inspection by the members and employee representatives of RBS plc, and an original copy
of the Directors’ Report will be deposited at the registered office of RBS Luxembourg for inspection by RBS Luxembourg’s
sole shareholder and the employee representatives of RBS Luxembourg.

2.7 In connection with the CBM, RBS plc shall execute the Deed of Irrevocable Offer.
2.8 The boards of directors of RBS plc and of RBS Luxembourg have approved the implementation of the CBM.
2.9 These Merger Terms comprise the terms (and information, pursuant to Regulation 7 of the UK Regulations and

Article 279 of the Luxembourg Regulations) of the CBM which have been drawn up and adopted by the boards of directors
of RBS plc and of RBS Luxembourg.

2.10 It is acknowledged that, in addition to the applicable procedures before the Court of Session, the Luxembourg

Register of Commerce and Companies and the Luxembourg civil law notary, the CBM is being implemented in consultation
with the CSSF and the PRA.

3. Conditions. Completion of the CBM is conditional upon satisfaction of the following conditions:
3.1 approval of these Merger Terms by the members of RBS plc at the meetings of each class of the members of RBS

plc convened by an order of the Court of Session for that purpose;

3.2 pursuant to Article 271 (1) of the Luxembourg Regulations, notarisation of these Merger Terms before a Luxem-

bourg civil law notary and the subsequent filing of these Merger Terms with the Luxembourg Register of Commerce and
Companies;

3.3 pursuant to Article 271 (2) of the Luxembourg Regulations, a Luxembourg notarial pre-merger certificate having

been issued by a Luxembourg civil law notary confirming that RBS Luxembourg has complied with the conditions provided
by the Luxembourg Regulations;

3.4 pursuant to Regulation 6 of the UK Regulations, a pre-merger certificate having been issued by the Court of Session

confirming that RBS plc has completed the UK premerger requirements provided by the UK Regulations; and

3.5 pursuant to Regulation 16 of the UK Regulations, an order having been made by the Court of Session approving

the CBM and fixing the date and time on which the CBM is to become effective (the “Final Order”).

4. Data to be included in the merger terms pursuant to the directive, the Luxembourg regulations and the UK regu-

lations.

4.1 The form, name and registered office of the Parties to the CBM.
(i) The Absorbing Company:
The Royal Bank of Scotland plc, a public limited company incorporated under the law of Scotland, having its registered

office  at  36  St  Andrew  Square,  Edinburgh  EH2  2YB,  United  Kingdom,  incorporated  under  the  Companies  Acts  and
registered with the Registrar of Companies in Scotland under number SC090312.

(ii) The Absorbed Company:
RBS Global Banking (Luxembourg) S.A., a public company limited by shares (société anonyme) governed by the laws

of Luxembourg, with its registered office at 46, avenue J.F. Kennedy, L-1855 Grand Duchy of Luxembourg, registered
with the Luxembourg Register of Commerce and Companies under number B-147923.

4.2 The ratio applicable to the exchange of securities or shares representing the capital of the Absorbing Company

and the amount of any cash payment.

The Absorbing Company is the sole shareholder of the Absorbed Company and will continue to be the sole shareholder

until the Effective Time. Consequently, there will be no consideration for the transfer of the assets of the Absorbed
Company to the Absorbing Company in accordance with Regulation 7(3) of the UK Regulations and Article 278 of the
Luxembourg Regulations.

Accordingly, no exchange ratio will need to be determined and no procedure for the allotment of securities or shares

representing the capital of the Absorbing Company will be applied.

4.3 The date from which the transactions of the Absorbed Company will be treated for accounting purposes as being

those of the Absorbing Company.

The CBM will be treated as effective for accounting purposes from the Effective Time.
4.4 The rights conferred by the Absorbing Company to shareholders having special rights and to the holders of secu-

rities other than shares or corporate units, or the measures proposed concerning them.

All the shares comprising the capital of the Absorbed Company are identical and confer the same rights and advantages

to their holders. The Absorbed Company has not issued any securities other than shares.

Therefore, no special rights will be given by the Absorbing Company and no related measures need to be proposed

or taken in relation thereto.

4.5 Any special advantages granted to the independent experts who examine the draft Merger Terms or to members

of the administrative, management, supervisory or controlling organs of the Parties to the CBM.

Pursuant to Regulation 9(1)(a) of the UK Regulations and Article 278 of the Luxembourg Regulations, an independent

expert’s report is not required with respect to the CBM as the Absorbing Company is the sole shareholder of the
Absorbed Company and will continue to be the sole shareholder until the Effective Time.

Accordingly, no special advantage is granted and no amount or benefit has been or will be paid or given to an inde-

pendent expert.

No advantage is granted and no amount or benefit is paid or given or intended to be paid or given to any of the

members of the board of directors or any administrative, management, supervisory or controlling organs of the Parties
to the CBM, and it is not intended to grant any such person any special advantages in connection with the CBM.

4.6 The articles of association of the Absorbing Company.
The articles of association of RBS plc will not be amended by, or in connection with, the CBM.
The articles of association of RBS plc were last amended on 28 April 2010. The complete text of the articles of

association of RBS plc in force on the date of these Merger Terms is attached to these Merger Terms as Annex 3.

4.7 The likely effect of the CBM on employment.
At the Effective Time, the Transferring Employees shall automatically transfer to RBS plc and shall become employees

of RBS plc. The directors of the merging companies do not believe that there will be any material changes to the terms
and conditions of employment of the Transferring Employees and the RBS plc employees as a consequence of the CBM.

4.8 Information on the procedures by which arrangements for the involvement of employees in the definition of their

rights to participation in the Absorbing Company are determined pursuant to Article 16 of the Directive.

No employee participation rights or systems, as referred to in Regulation 7(2)(j) of the UK Regulations or Article 261

(4)c) of the Luxembourg Regulations, have applied to RBS plc or RBS Luxembourg within six months prior to the filings
of these Merger Terms with the Registrar of Companies in Scotland and the Luxembourg Register of Commerce and
Companies, as referred to in paragraphs 6.1 and 6.2, respectively, of these Merger Terms.

Therefore, RBS plc will not become subject to any employee participation rights or system, and no negotiations will

have to be opened in respect of any system of employee participation, as referred to in Part 4 of the UK Regulations.

4.9 Information on the evaluation of the assets and liabilities which are transferred to the Absorbing Company.

The annual audited accounts of the Absorbed Company for the financial year ending on 31 December 2013 have been

used to establish the conditions of the CBM.

In those annual accounts of the Absorbed Company, the assets and liabilities of the Absorbed Company have been

valued in accordance with the valuation principles set out in the document attached to these Merger Terms as Annex 4.

4.10 Dates of the annual accounts of the Parties to the CBM used to establish the conditions of the CBM.
The date of the annual accounts of each of the Parties to the CBM used to establish the conditions of the CBM is 31

December 2013.

The accounts of RBS plc for the financial year ending on 31 December 2013 are available under the heading “RBS plc”

on the RBSG website at http://www.investors.rbs.com/report_subsidiary_results

5. Directors’ report. The board of directors of RBS plc and of RBS Luxembourg have drawn up a directors’ report in

relation to the CBM, explaining the Merger Terms and, amongst other matters, the legal, economic and social conse-
quences of the CBM (the “Directors’ Report”).

6. Filing.
6.1 A copy of these Merger Terms will be filed with the Registrar of Companies in Scotland, being the jurisdiction in

which RBS plc has its registered office.

6.2 The Merger Terms will be notarised by a Luxembourg notary who will file these Merger Terms with the Register

of Commerce and Companies in Luxembourg, being the jurisdiction in which RBS Luxembourg has its registered office,
which shall publish these Merger Terms in the Luxembourg Official Gazette.

6.3 These Merger Terms, the ancillary documents annexed hereto and the Directors’ Report will be deposited at the

registered office of RBS plc for inspection by the members and the employee representatives of RBS plc and an original
copy  of  the  Directors’  Report  will  be  deposited  at  the  registered  office  of  RBS  Luxembourg  for  inspection  by  RBS
Luxembourg’s sole shareholder and by employee representatives of RBS Luxembourg.

6.4 An announcement of the abovementioned filings and depositing will be published in the Edinburgh Gazette in the

United Kingdom.

7. Other provisions.
7.1 Allocation to RBS plc
On completion of the CBM, the business attributable to RBS Luxembourg as a whole shall be allocated to RBS plc’s

Branch in Luxembourg, unless RBS plc determines otherwise.

7.2 Effective Time
The Parties to the CBM may apply to the Court of Session to amend the Effective Time stated in the Final Order if

the effective date of the CBM is delayed.

7.3 Counterparts
These Merger Terms may be signed for and on behalf of RBS plc and for and on behalf of RBS Luxembourg in any

number of counterparts, all of which when taken together will constitute one Merger Terms.

Annex 1. Deed of Irrevocable Offer

This deed of irrevocable offer (“Deed”) is made on 26 June 2014 by The Royal Bank of Scotland plc, a public limited

company incorporated under the law of Scotland, having its registered office at 36 St Andrew Square, Edinburgh EH2
2YB, United Kingdom, and registered under number SC090312 (“RBS plc”), vis-à-vis each Counterparty.

Whereas:
(A) It is currently envisaged that on or around 1 November 2014 all of the business conducted by RBS Global Banking

(Luxembourg) S.A. (“RBS Luxembourg”) will be transferred to RBS plc. The transfer will be implemented by the merger
of RBS Luxembourg into RBS plc through a cross-border merger (the “CBM”).

(B) Pursuant to the CBM, the Transferring Arrangements will transfer from RBS Luxembourg to RBS plc.
(C) In connection with the CBM, RBS plc wishes to offer certain irrevocable undertakings to the Counterparties.
(D) In connection with the CBM, RBS plc will undertake to the Court of Session in Scotland in respect of this Deed,

including that it will perform its obligations under this Deed, as if those obligations and this Deed were governed by Scots
law.

This Deed reads as follows:

1. Definitions and Interpretation.
1.1 Definitions: In this Deed, unless the context requires otherwise, capitalised terms shall have the meaning given

thereto in Schedule 1 (Definitions).

1.2 Interpretation: Unless a contrary indication appears:
1.2.1 Headings: headings shall be ignored in construing this Deed;
1.2.2 Documents: references in this Deed to this Deed or any other document are to this Deed or those documents

as amended, supplemented or replaced from time to time and include any document that amends, supplements or replaces
them;

1.2.3 Clauses: references to Clauses are to Clauses of this Deed;
1.2.4 Statutes: references to a statute or statutory provision include:
(i) that statute or provision as from time to time modified, re-enacted or consolidated whether before or after the

Effective Time; and

(ii) any subordinate legislation made from time to time under that statute or statutory provision; and
1.2.5 Singular and Plural: references to the singular include the plural and vice versa.

2. Irrevocable Offer.
2.1 General Undertakings
2.1.1 References to CSSF
With effect from the Effective Time, RBS plc hereby irrevocably undertakes to each Counterparty as follows. RBS plc

will construe any reference to the “Commission de Surveillance du Secteur Financier” or “CSSF” to refer to the PRA,
unless such reference relates to (i) past consents, authorisations, approvals and/or decisions of the CSSF, (ii) mandatory
laws and regulations in Luxembourg applicable in accordance with Luxembourg law to branches of credit institutions from
other member states, or unless the context requires otherwise.

2.2 Undertakings in respect of Transferring Arrangements
With effect from the Effective Time, RBS plc hereby irrevocably undertakes to each Counterparty of a Transferring

Arrangement as follows.

2.2.1 Set Off Rights
Subject to Clause 2.2.7 (Savings to rights), RBS plc will not exercise any Set Off Rights which might otherwise be

exercisable by it solely in consequence of the CBM to reduce or discharge any Liability arising from time to time:

(i) under any Existing RBS plc Arrangement by using any right under any Transferring Arrangement; or
(ii) under any Transferring Arrangement by using any right under any Existing RBS plc Arrangement.
2.2.2 All Monies Rights
Subject to Clause 2.2.7 (Savings to rights), RBS plc will not exercise any All Monies Rights which might otherwise be

exercisable by it solely in consequence of the CBM:

(i) under any Existing RBS plc Arrangement to secure any Liability of the Counterparty arising to RBS plc from time

to time under any Transferring Arrangement; or

(ii) under any Transferring Arrangement to secure any Liability of the Counterparty arising to RBS plc from time to

time under any Existing RBS plc Arrangement.

2.2.3 Consolidation Rights
Subject to Clause 2.2.7 (Savings to rights), RBS plc will not exercise any Consolidation Rights which might otherwise

be exercisable by it solely in consequence of the CBM to prevent the release of a Right in Security given in relation to:

(i) any Existing RBS plc Arrangement until all Liabilities have been satisfied under any Transferring Arrangement; or
(ii) under any Transferring Arrangement until all Liabilities have been satisfied under any Existing RBS plc Arrangement.
2.2.4 Cross Default Rights
Subject to Clause 2.2.7, RBS plc will not exercise any Cross Default Rights, which might otherwise be exercisable by

it solely in consequence of the CBM, to accelerate or alter any rights or obligations:

(i) under any Existing RBS plc Arrangement as a result of the breach of any Transferring Arrangement; or
(ii) under any Transferring Arrangement as a result of the breach of any Existing RBS plc Arrangement.
2.2.5 Entire Agreement Clauses
Subject to Clause 2.2.7:
(i) where a Transferring Arrangement contains an Entire Agreement Clause, the relevant clause will be read and

construed as if it referred only to the products or services which are comprised in the Transferring Business and will not
apply to, and the Transferring Arrangement shall not supersede, any Existing RBS plc Arrangements;

(ii) where an Existing RBS plc Arrangement contains an Entire Agreement Clause, the relevant clause will be read and

construed as if it referred only to products or services of RBS plc which are not comprised in the Transferring Business
and will not apply to, and the Existing RBS plc Arrangement shall not supersede, any Transferring Arrangement.

2.2.6 Other rights of RBS plc
Subject to Clause 2.2.7, RBS plc will not exercise any other right, benefit, interest, discretion, authority or power which

might otherwise be exercisable by RBS plc solely in consequence of the CBM under, or in relation to, any:

(i) Existing RBS plc Arrangement to terminate, reduce, suspend, delay, alter, discharge or otherwise secure any Liability

arising from time to time under any Transferring Arrangement; or

(ii) Transferring Arrangement to terminate, reduce, suspend, alter, discharge or otherwise secure any Liability arising

from time to time under any Existing RBS plc Arrangement.

2.2.7 Savings to rights
Clauses 2.2.1 (Set Off Rights) to 2.2.6 (Other rights of RBS plc) will not apply to diminish, or vary, any rights which:
(i) immediately prior to the Effective Time, RBS plc or RBS Luxembourg had in relation to any Transferring Arrange-

ments or Existing RBS plc Arrangements to exercise any such Set Off Rights, All Monies Rights, Consolidation Rights or
Cross Default Rights; or

(ii) RBS plc or RBS Luxembourg in relation to any Transferring Arrangements or Existing RBS plc Arrangements may

acquire other than solely in consequence of the CBM, including any rights arising in consequence of the modification on,
or after, the Effective Time of any Transferring Arrangement or Existing RBS plc Arrangement.

2.2.8 Withholding Tax
If:
(i) a Counterparty is a borrower under one or more loans (“Affected Loans”) which are transferred under the CBM

to RBS plc (such Counterparty being an “Affected Borrower”); and

(ii) interest payments in respect of an Affected Loan following the CBM will become subject to increased rates of

withholding tax as a result of the status of RBS plc for taxation purposes, RBS plc will engage with the relevant Affected
Borrowers to mitigate such increased or additional tax costs, and to the extent such costs cannot reasonably be mitigated,
RBS plc will not exercise any rights it may have under the Affected Loans to require Affected Borrowers to make additional
payments (to the extent arising from such increase in the rate of withholding tax).

3. Enforcement by Counterparties. This Deed creates the right for each Counterparty to demand performance by

RBS plc under this Deed and to otherwise invoke this Deed against RBS plc with effect from the Effective Time.

4. Amendment. RBS plc may not amend, vary, terminate or suspend this Deed or its obligations under it, save that

nothing in this Clause shall prevent RBS plc from (i) increasing, or extending, its obligations under this Deed by way of
supplement to it at any time or (ii) amending this Deed in a manner not materially prejudicial to the Counterparties or
to correct a manifest error.

5. Governing Law and Jurisdiction.
5.1 Governing Law: This Deed and any non-contractual obligations arising out of, or in connection with, it shall:
5.1.1 in relation to any Transferring Arrangement be governed by, and construed in accordance with, the laws by which

such Transferring Arrangement is expressed to be governed; and

5.1.2 in any other respect (if any) be governed by and construed in accordance with English law.
5.2 Jurisdiction: In relation to:
5.2.1 any Transferring Arrangement, the courts to whose jurisdiction RBS Luxembourg has submitted in respect of

such Transferring Arrangement are to have jurisdiction to settle any disputes that may arise out of or in connection with
this Deed and accordingly any legal action or proceedings arising out of, or in connection with, this Deed in relation to
such Transferring Arrangement (as applicable) may be brought in such courts; and

5.2.2 any other aspect, the English courts are to have jurisdiction to settle any disputes that may arise out of or in

connection with this Deed and accordingly any legal action or proceedings arising out of, or in connection with, this Deed
in relation to any such other aspect may be brought in such courts.

Schedule 1

Definitions. In this Deed:
“Affected Borrower” has the meaning given thereto in Clause 2.2.8(i);
“Affected Loan” has the meaning given thereto in Clause 2.2.8(i);
“All Monies Rights” means all rights providing for a Right in Security given in relation to obligations under an Arran-

gement to secure, in addition, obligations arising under other Arrangements;

“Arrangement” means any arrangement made with, or offered or issued by, or on behalf of, RBS Luxembourg (or, as

applicable, RBS plc), whether or not in writing, including any agreement, invitation to treat, offer, contract, deed, instru-

ment, loan, security, guarantee, letter of credit, facility, mortgage, derivative, bond, commitment, franchise, Encumbrance,
Right in Security, deposit, indemnity, indenture, trust document, lease or licence (including any variations, modifications,
amendments, restatements or other supplements thereto) and/or rights and obligations of any kind (whether present or
future, actual or contingent, ascertained or unascertained) arising under any such arrangement;

“Asset” means all rights, title, interest, property and power of every description in each case of RBS Luxembourg (or,

as applicable, RBS plc), whether deriving from contract, common law, statute or otherwise, whether present or future,
actual  or  contingent,  ascertained  or  unascertained  or  disputed  and  whether  held  alone  or  jointly,  as  agent,  trustee,
custodian or in a similar fiduciary capacity;

“CBM” has the meaning given thereto in the Recitals above;
“Consolidation Rights” means all rights providing for security given in relation to any Arrangement not to be released,

or discharged, until obligations have been satisfied in relation to any other Arrangement;

“Counterparty” means each party to a Transferring Arrangement from time to time other than RBS Luxembourg or,

following the Effective Time, RBS plc;

“Cross Default Rights” means any rights providing for, or which (if exercised) would result in, the acceleration or

alteration of payment obligations or other obligations under an agreement as a result of a default under another agreement;

“CSSF” means the Supervisory Authority of the Luxembourg Financial Sector (Commission de Surveillance du Secteur

Financier);

“Deed” has the meaning given thereto in the introductory paragraph above;
“Effective Time” means the date and time at which the CBM shall become effective;
“Encumbrance” means any of the following to which RBS Luxembourg or, as applicable, RBS plc is subject:
(i) any mortgage, charge, pledge, assignment in security, lien or any other security interest or encumbrance of any kind,

whether legal or equitable, securing any obligation of any person or any other agreement having a similar effect, including:
(a) any indemnity, guarantee, letter of credit, letter of comfort, letter of support, letter of intent, risk allocation letter,
letter of awareness, insurance, warranty, representation or other assurance; and (b) any fixed or floating charge, standard
security, right of set-off or netting arrangement;

(ii) any intercreditor agreement, subordination agreement, postponement agreement or other ranking agreement in

relation to the rights and/or obligations of any person or any security interest;

(iii) any equalisation agreement, standstill agreement or similar agreement or arrangement;
(iv) any third party right or interest, whether legal or equitable, including any right or interest in any real or personal

property;

(v) any option, restriction, right of first refusal, right of pre-emption or any other type of preferential arrangement

(including title transfer and retention agreements) having a similar effect; and

(vi) security rights and other agreements or arrangements having a similar effect, including, without limitation, security

rights, in rem security rights, in personam security rights, whether abstract, independent or dependent, whether bank
security or credit security and any and all statements of joint and several liability, suretyships, net worth statements,
beneficiary rights under insurance policies, bank guarantees or counter guarantees, corporate guarantees, surplus gua-
rantees, subordinations, (notarial) powers of attorney and appointment rights;

“Entire Agreement Clause” means a clause contained in an Existing RBS plc Arrangement or a Transferring Arrange-

ment which provides that the agreement represents the entire agreement between the parties in relation to all or some
of the accounts or services of the type that are the subject matter of the agreement or that are referred to in the
agreement, or otherwise states that the relevant Existing RBS plc Arrangement or Transferring Arrangement (as appli-
cable) will apply to all accounts or services provided by RBS plc or RBS Luxembourg as appropriate;

“Existing RBS plc Arrangement” means any Arrangement of RBS plc with any counterparty which exists as at the

Effective Time;

“Liabilities” means all liabilities, duties and obligations of every description, whether deriving from contract, common

law, statute or otherwise, whether present or future, actual or contingent, ascertained or unascertained or disputed and
whether owned or incurred severally or jointly or as principal or surety;

“PRA” means the Prudential Regulation Authority of the United Kingdom (or any predecessor authority or authorities

(including the Financial Services Authority) or successor authority or authorities carrying out banking and/or insurance
regulatory functions in the United Kingdom from time to time);

“RBS Luxembourg” has the meaning given thereto in the Recitals above;
“RBS plc” has the meaning given thereto in the introductory paragraph to this Deed;
“Right in Security” means any of the following of which RBS Luxembourg or, as applicable, RBS plc has the benefit:
(i) any mortgage, charge, pledge, assignment in security, lien or any other security interest or encumbrance of any kind,

whether legal or equitable, securing any obligation of any person or any other agreement having a similar effect including:
(a) any indemnity, guarantee, letter of credit, letter of comfort, letter of support, letter of intent, risk allocation letter,
letter of awareness, insurance, warranty, representation or other assurance; and (b) any fixed or floating charge, standard
security, right of set-off or netting arrangement;

(ii) any intercreditor agreement, subordination agreement, postponement agreement or other ranking agreement in

relation to the rights and/or obligations of any person or any security interest;

(iii) any equalisation agreement, standstill agreement or similar agreement or arrangement;

property;

(v) any option, restriction, right of first refusal, right of pre-emption or any other type of preferential arrangement

(including title transfer and retention agreements) having a similar effect; and

(vi) security rights and other agreements or arrangements having a similar effect, including, without limitation, security

rights, in rem security rights, in personam security rights, whether abstract, independent or dependent, whether bank

beneficiary rights under insurance policies, bank guarantees or counter guarantees, corporate guarantees, surplus gua-

“Set Off Rights” means all rights arising under, or in relation to, any Transferring Arrangement or Existing RBS plc

Arrangement providing for Liabilities under any Transferring Arrangement or Existing RBS plc Arrangement to be satisfied
by way of set-off, combination or deduction against, or used as payment towards, Liabilities under any other Transferring
Arrangement or Existing RBS plc Arrangement;

“Tax” means all forms of taxation whether direct or indirect and whether levied by reference to income, profits, gains,

net wealth, asset values, turnover, added value or other reference and statutory, governmental, state, provincial, local
governmental or municipal impositions, duties, contributions, rates and levies (including social security contributions and
any other payroll taxes), whenever and wherever imposed (whether imposed by way of a withholding or deduction for
or on account of tax or otherwise) and in respect of any person and all penalties, charges, costs and interest relating
thereto;

“Transferring Arrangement” means any of the Arrangements comprised in the Transferring Business; and
“Transferring Business” means the business of, and all assets and liabilities of, RBS Luxembourg immediately prior to

the Effective Time.

Annex 2. List of certain RBS Luxembourg Assets to be Transferred under Universal Succession of Title

The assets to be transferred to RBS plc under universal succession of title under the CBM include the following list of

German land charges (and any other existing German land charges of RBS Luxembourg not specified below). It should
be noted that in the following list the columns referring to the beneficiary might refer to RBS Luxembourg although the
land register might still refer to the (former) beneficiary ABN AMRO Bank (Luxembourg) S.A. It is hereby clarified that
despite such inconsistencies the land charge is intended to be transferred to RBS plc under universal succession of title
under the CBM.
